Contract Paralegal

Position Summary The Contract Paralegal is responsible for supporting the drafting, review, negotiation, and lifecycle management of agreements related to Portage Bank’s banking, fintech, and payments businesses. This position works closely with the Compliance Officer, outside counsel, and business owners to ensure contracts are completed accurately, efficiently, and in compliance with applicable requirements. The ideal candidate is detail-oriented, organized, and comfortable working independently in a regulated financial environment. This role will have exposure to banking, fintech, BaaS, payments, vendor, and third-party agreements. Key Responsibilities Draft, review, and redline vendor agreements, fintech partnership contracts, and payments-related terms. Manage the full contract lifecycle, including intake, review, negotiation support, execution, and renewal tracking. Maintain organized and audit-ready contract records and support examiner and audit requests. Coordinate with outside counsel on escalated legal matters and track open items through resolution. Support regulatory and compliance review of third-party, BaaS, and payments arrangements. Identify risks, missing terms, and non-standard provisions and provide clear recommendations to the Compliance Officer. Work with business owners and internal teams to facilitate the contract process and ensure timely execution. Maintain accurate documentation and records in accordance with internal policies and regulatory requirements. Contracts You Will Work On Fintech and BaaS partnership agreements, including program agreements, sponsorship arrangements, and program manager contracts. Payments contracts involving card programs, ACH, wire, money movement, networks, and processors. Vendor and third-party agreements, including technology, SaaS, data, and outsourcing contracts. Deposit and lending program documentation related to fintech partners and BaaS programs. NDAs, MSAs, statements of work, amendments, and related agreements. Regulatory and compliance provisions within partner and vendor contracts, including audit, examination, and oversight terms. Qualifications 3+ years of paralegal experience, preferably with exposure to banking, fintech, or payments contracts. Experience handling vendor agreements, regulatory contract review, and payments-related terms with limited supervision. Strong drafting, reviewing, and redlining skills with a keen eye for risk and non-standard provisions. Ability to work effectively with compliance personnel, outside counsel, and business owners in a regulated environment. Paralegal certification (CP or RP) preferred. Financial institution experience strongly preferred. Experience with capital raise or investment-related agreements, including subscription agreements, SAFEs, convertible notes, or term sheets, is a plus.
