Position Overview The Assistant General Counsel will work with all of the Kelso operating companies and will be primarily focused on managing and overseeing commercial transactions and other contract-related matters, ensuring compliance with legal standards, and supporting the company’s business objectives. The ideal candidate will have extensive experience in contract law and a strong ability to negotiate, draft, and review a wide range of contractual agreements, including procurement-related contracts.

JOB RESPONSIBILITIES:

Commercial Transactions : Assist with commercial transactions, including drafting, reviewing, negotiating, and finalizing various types of contracts (e.g., MSAs, vendor agreements, service contracts, NDAs, licensing agreements). Legal Compliance: Assist with ensuring compliance with applicable laws, regulations, and company policies across multiple states. Risk Assessment: Identify and mitigate potential legal risks associated with contractual agreements. Stakeholder Collaboration: Work closely with internal departments (e.g., finance, operations, sales) to understand business needs and provide legal guidance on contract-related matters. Dispute Resolution: Handle contract disputes and provide strategic advice to resolve issues efficiently. Training and Development: Conduct training sessions for staff on contract management best practices and legal compliance. Policy Development: Assist in developing and updating company policies related to contracts and legal compliance. Documentation and Record Keeping: Maintain organized records of all contracts and related documents. Procurement Oversight: Develop and implement procurement policies and procedures to ensure compliance with legal and regulatory requirements. Review and negotiate vendor contracts to secure favorable terms and mitigate risks.

QUALIFICATIONS:

Education: Juris Doctor (JD) degree from an accredited law school. Experience: Minimum of 4+ years of experience in contract law, preferably in a corporate legal department. Licensure: Active bar membership in good standing.

SKILLS:

Strong knowledge of contract law and legal principles. Excellent negotiation, drafting, and communication skills. Ability to manage multiple projects and meet deadlines. High attention to detail and organizational skills. Proficient with Microsoft Office Suite or related software. Comfortable working in an evolving and growing environment.

PREFERRED QUALIFICATIONS:

Experience in the construction industry and with M&A activities is preferred.
