This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, and strategic investors in sophisticated domestic and cross-border transactions. Ideal Background
- 3-6 years of mergers & acquisitions or corporate transactional experience gained at a sophisticated law firm
- Experience representing public companies, privately held companies, private equity sponsors, portfolio companies, and strategic buyers and sellers
- Experience handling mergers, acquisitions, dispositions, joint ventures, recapitalizations, and other strategic corporate transactions
- Experience drafting and negotiating purchase agreements, merger agreements, disclosure schedules, shareholder agreements, operating agreements, and related transaction documentation
- Experience conducting and managing legal due diligence and coordinating transactions from letter of intent through closing
- Experience advising clients regarding corporate governance, entity formation, and general corporate matters
- Strong drafting, negotiation, analytical, organizational, and communication skills
- Ability to independently manage sophisticated transactions while maintaining significant client interaction
- Excellent academic credentials
- J.D. from an ABA-accredited law school required
- Illinois bar admission required or ability to become admitted
- Sophisticated national M&A platform
- Exposure to complex middle-market and upper-middle-market transactions
- Significant client interaction and responsibility
