About the Role

Equivity is seeking an experienced Corporate Law Paralegal to support attorneys with corporate governance, contracts, mergers and acquisitions (M&A), commercial disputes, and confidential business matters.

This is a remote, assignment-based position. Hours and workload depend on client demand and are not guaranteed. Candidates must be available for at least 20 hours per week and respond to active clients within one hour during their stated availability between 9 AM and 6 PM.

Responsibilities

• Assist with entity formation, corporate governance, compliance, and corporate transactions.
• Support mergers and acquisitions, including due diligence, document review, transaction checklists, closing documents, and data room management.
• Draft and review contracts, NDAs, corporate resolutions, and other business documents.
• Assist with commercial litigation, discovery, and trade secret matters.
• Manage confidential corporate records, filings, deadlines, and transaction documents.
• Prepare document summaries, timelines, closing binders, and exhibits.
• Maintain organized files and communicate effectively with attorneys and legal teams.

Requirements

• Bachelor's degree required.
• 3+ years of transactional corporate paralegal experience.
• Experience supporting M&A transactions, corporate governance, and business agreements.
• Familiarity with due diligence, transaction documents, corporate records, and confidential business information.
• Experience with NDAs and other commercial agreements.
• Strong organizational skills and ability to work independently.
• Proficiency in Microsoft Office and Adobe.
• Minimum availability of 20 hours per week.
• Responsiveness within one hour during stated business-hour availability.

Preferred: Intellectual property experience. Experience managing virtual data rooms or M&A closing processes. Experience using Clio or similar case management software.

Compensation & Work Structure

• $30/hour, W-2 employment.
• Fully remote, assignment-based work.
• Hours vary based on client demand and availability.
• Client assignments are not guaranteed immediately upon joining.
