What you will enjoy doing:

  • Assist with various corporate governance matters generally including preparing and maintaining public company policies and the corporate governance website
  • Collaborate on a wide range of matters for the Board of Directors, including meeting preparation, agenda and materials drafting, preparing meeting materials for electronic distribution, director compensation and director orientation
  • Assist with the Insider Trading Program compliance, including providing stock trading clearances
  • Prepare SEC Section 16 insider trading filings
  • Draft certain SEC filings on Form 8-K and collaborate on preparing certain sections of other SEC filings such as Form 10-K and 10-Q
  • Prepare key sections of the annual general meeting of shareholders ("AGM") proxy statement and draft director and officer questionnaires and AGM documents
  • Support as needed general corporate matters such as subsidiary maintenance, drafting secretary certificates, and other certificates

What makes you great:

  • Minimum of 7-10 years of corporate governance paralegal experience preferably with a combination of law firm and in-house experience; significant public company experience is essential
  • Associate's degree preferred
  • Paralegal Certification preferred
  • Strong communication and interpersonal skills are required, with a collaborative approach and a demonstrated ability to work effectively in a team-oriented environment
