Reporting to the General Counsel, this individual will support the company's transition to public-company standards while providing legal guidance on corporate transactions, securities compliance, and day-to-day business operations.The ideal candidate combines strong corporate and securities law expertise with the ability to operate pragmatically in a fast-paced, high-growth environment.About the WorkCorporate GovernanceSupport Board of Directors and committee governance, including preparation of Board materials and resolutionsMaintain corporate records and oversee entity management across domestic and international subsidiariesAssist with implementation of public company governance practices and policiesAdvise leadership on corporate governance matters and fiduciary responsibilitiesSecurities & Public Company ComplianceSupport development of disclosure controls and proceduresAssist with preparation and review of public company filings, including Forms 10-K, 10-Q, and 8-KCoordinate with external counsel on securities law compliance and regulatory mattersMonitor developments in securities regulations and advise internal stakeholders accordinglyStrategic TransactionsSupport corporate development initiatives, including acquisitions, investments, and strategic partnershipsAssist in negotiation and documentation of transaction agreementsCoordinate due diligence processes and post-transaction integration from a legal perspectiveCommercial & Operational SupportProvide legal guidance on a range of commercial agreements, including customer, partner, and vendor contractsPartner with internal teams to identify and manage legal risk across the business including with respect to employment related matters.Develop and improve contract templates, policies, and internal processesCompliance & Risk ManagementSupport development of internal compliance policies and training programsPartner with cross-functional teams to ensure adherence to regulatory requirementsAssist with enterprise risk management initiatives and internal investigations when necessaryExternal Counsel ManagementCoordinate with outside counsel on corporate, securities, and transactional mattersManage legal budgets and ensure efficient use of external advisorsAbout YouJuris Doctor (J.D.) from an accredited law schoolLicensed to practice law in at least one U.S. jurisdiction8–12+ years of relevant legal experienceCorporate and securities law experience at a top law firm strongly preferredIn-house experience at a technology company preferredExperience supporting public companies or IPO readiness highly desirableStrong understanding of corporate governance, securities regulations, and commercial transactionsLeadership ProfilePractical, business-oriented legal advisorStrong communicator capable of translating legal complexity into clear business guidanceCollaborative partner across Finance, Product, and Operations teamsHighly organized with strong judgment and attention to detailAble to manage multiple priorities in a fast-paced growth environmentLocationThis is a fully remote role with the option to work hybrid if a commutable distance from our Salem, OR, Pittsburgh, PA, or Fremont, CA offices.The final salary offered to a successful candidate will be dependent on several factors that may include but are not limited to: market location, job-related knowledge, skills, and experience.
