Corporate Securities Associate – New York
Direct Counsel is seeking a Corporate Securities Associate Attorney to join a global law firm.
Our client is seeking a mid-level securities attorney with 3–5 years of experience to join its growing Corporate Practice in New York. The attorney will work closely with partners and associates on a broad range of securities, capital markets, and general corporate matters.
Responsibilities:
- Prepare and manage SEC and other regulatory filings and submissions
- Draft, review, and negotiate legal documents and ancillary agreements for corporate and securities transactions
- Support public and private offerings, private placements, Regulation S offerings, and M&A transactions
- Conduct and manage due diligence and coordinate deal closings
- Develop and maintain client relationships
- Supervise and train junior attorneys and transactional specialists
- Conduct legal research and assist with writing projects
Qualifications:
- 3–5 years of legal experience at a major national or international law firm
- Experience drafting legal documents for corporate and securities matters
- Experience interacting with the SEC, stock exchanges, and similar regulatory bodies
- Securities transactional, reporting, and compliance experience preferred
- Experience with public and private offerings, including private placements and Regulation S offerings, preferred
- Tech company experience is a plus
- Excellent academic credentials and strong written, analytical, and interpersonal skills
- Must be licensed or eligible to practice in New York and in good standing
Location: New York, NY
Salary: $260,000–$365,000 based on experience
