About the Role
The Company is seeking an Associate General Counsel - Commercial to join their legal team. The successful candidate will serve as a senior advisor and strategic partner, providing high-level legal and strategic support to the Chief Legal Officer, the Vice President and Deputy General Counsel for Commercial Transactions, and other enterprise stakeholders. This role is pivotal in leading complex commercial transactions, overseeing government and vendor contracting programs, and proactively managing commercial legal risk. Key responsibilities include the drafting, review, and negotiation of a variety of commercial agreements, leading legal review of government RFP responses, and providing senior-level legal counsel to various business functions. The role also involves partnering with compliance functions, developing and implementing legal policies, and delivering training programs on contracting practices and legal risk awareness. Applicants must have a Juris Doctor (JD) from an accredited U.S. law school, with a minimum of 15 years' post-JD experience, including at least 10 years in complex commercial transactions. The ideal candidate will have a strong background in leading the negotiation and execution of commercial agreements, exceptional communication skills, and the ability to provide clear, practical, and business-oriented legal advice. A proven track record of leadership, the ability to manage multiple obligations, and a high level of professional judgment are essential. The role requires a candidate with a meticulous attention to detail, the ability to work independently, and a proactive approach to legal risk management. Experience in a regulated industry and with government procurement and contracting is preferred.
