As a key member of our firm, you will play a crucial role in providing paralegal support and will thrive in our fast-paced environment.Key Responsibilities Entity Formations & MaintenanceCoordinating with clients to obtain requisite formation data.Drafting corporate governance documents.Submission of SOS filings (various states), including formations, conversions, mergers and foreign registrations via online platforms, fax-filing or mail, as required by each authority.Obtain EINs online or via fax, as required.Submission and tracking of IRS filings, including 83(b) elections, 8822-B Change of Address/Change of Responsible Party, 2553 elections (where applicable).Deal Closing CoordinationGenerate Excel investor signature trackers.Coordinate with clients and attorneys on requisite consent thresholds, document distribution and signature collection strategies.Review and edit closing documents in preparation for signature collection.Collect signatures via DocuSign, using either individual envelopes or DocuSigns Templates and Bulk Send functions for mass distribution, as needed, and using DocuSigns Conditional Logic functionality for investor accreditation.Track requisite consent thresholds and e-file state-level Charter amendments, as needed.Coordinate with signers to answer questions relating to DocuSign and investor accreditation, and to verbally confirm wire instructions.Generate and maintain Schedules of Purchasers on all closing documents;Update internal pro forma and/or clients online cap table management platform (i.e. Carta, Pulley, etc.) to reflect newly authorized shares and share issuances.Compile and bookmark all executed closing documents, and generate and distribute closing binders.Draft, file, and track Assist with Federal Reg D and State Blue Sky filings.Document ManagementMaintain clean cloud-based file management client workspaces and folders.Assist attorneys with occasional cloud-based document management platform issues, including installation, configuration, and integration issues (primarily with Outlook and Litera Compare).Residual post-implementation of cloud-based document management platform file organization.Document Drafting & Corporate GovernanceWord drafting and cleanup, including stripping documents, applying headings, styles, and outlines, and generating cross-references and TOCs.Proofreading.Assist with drafting company resolutions, equity awards, and other basic corporate governance documents.Coordinate requisite Board and Stockholder approvals with attorneys and clients, as needed.Update clients online cap table management platforms (i.e. Carta, Pulley, etc.) or VWs internal cap tables to reflect changes to Board composition, issuance of options or restricted shares, exercises of options or warrants, and any other ongoing updates to clients cap table. Attend board meetings and draft meeting minutes.What Were Looking For in YouSeven plus years of experience as a paralegal working on corporate matters.Extensive experience in document drafting and management.High level of attention to detail and accuracy.Strong communication skills can interact effectively with clients and colleagues.Natural collaborator who works well with other team members to ensure seamless workflow and project coordination.Knowledge of Carta, Pulley, and other cap table management systems.Experience training legal assistants and paralegal staff.What Well Provide YouFun team culture, where we care about your interests and the time you spend at work, as well as at home.Excellent firm-paid medical/dental/vision insuranceMatching 401(k) retirement planFirm-paid short-term and long-term disability insurance, as well as life insurancePaid Holidays and competitive PTO planPaid Parental Leave benefitsWork abroad opportunities including firm-subsidized work trips (Past trips were to Canada, Portugal, Spain, Mexico, and Denmark!)A people-first culture that values trust, transparency, and collaboration over bureaucracy.Vela Wood is an Equal Opportunity Employer and considers applicants for all positions without regard to race, color, religion, sex, national origin, age, disability, veteran status, sexual orientation, gender identity, or any other characteristic protected by law.
