Overview
The Director, Finance, Tolling Division is the senior finance leader responsible for the financial stewardship and day-to-day finance operations of the Tolling business. Reporting to the Vice President of Finance, the Director leads controllership, financial reporting, budgeting and forecasting, project finance, working-capital management, compliance and finance-team performance. The Tolling Division comprises Quarterhill's established tolling operations together with a recently acquired tolling business. For a defined transition period, the acquired business continues to transact on the seller's finance systems and relies on services delivered by the seller under a Transition Services Agreement, while Quarterhill retains full ownership of its close, consolidation and external reporting. A defining feature of this role is therefore accountability for financial results and controls in an environment where a significant part of the underlying processing sits outside Quarterhill's direct control. The Director is responsible for the integrity of reporting produced in that environment, for building or sourcing the capabilities that did not transfer with the business, and for leading the division's exit from transition services onto Quarterhill's own platform. The role ensures that management and Quarterhill have timely, accurate and decision-useful financial information; that financial processes and controls operate effectively; and that the business meets its statutory, tax, audit, insurance, licensing and bonding obligations. The Director partners closely with operating leaders, Corporate Finance and the Director, Integration Management to align the business with enterprise standards while maintaining strong support for customers, contracts and operations.Responsibilities Financial reporting and controllership
- Lead the monthly, quarterly and annual close for the Tolling business, including journal entries, accruals, allocations, depreciation, account reconciliations and review of the trial balance, across both Quarterhill-operated and transition-service-supported processes.
- Operate to Quarterhill's public-company close calendar and reporting deadlines, managing the conflict with the service provider's own close timetable so that Quarterhill's obligations are never at risk.
- Stand up and operate, in-house or through governed service providers, the accounting processes that did not transfer with the business, including fixed assets, cash accounting, prepaids, deferred contract costs, lease and real estate accounting, and sales and use tax.
- Maintain complete and accurate financial statements and supporting schedules, including profit and loss, balance sheet, cash flow, accounts payable, accounts receivable and inventory.
- Deliver timely reporting to the corporate accounting team and support Quarterhill's consolidated reporting, disclosure, audit and public-company requirements under IFRS, including conversion and ongoing translation of records maintained under US GAAP in the seller's systems.
- Own contract and project revenue recognition, including percentage-of-completion estimates, contract cost capitalization and amortization, deferred contract costs and deferred revenue, with documented support that withstands external audit scrutiny.
- Analyze results against budget, forecast and prior periods; explain key drivers, risks and corrective actions to the Vice President of Finance, the CFO and business leadership.
- Establish and maintain accounting policies, close procedures, approval authorities, documentation standards and internal controls consistent with Quarterhill requirements, recognizing that during the transition period certain controls sit with the service provider and require compensating oversight and evidence.
- Support purchase accounting and opening balance sheet activities and provide division inputs to acquisition-related and statutory reporting requirements.
- Partner with the Bid team to develop and review pricing, financial models, cost assumptions, margins, cash flow and commercial risks to ensure bids are competitive, financially viable and aligned with company objectives.
- Review and validate sales commission calculations to ensure accuracy, compliance with approved commission plans, and alignment with applicable contract terms and financial results.
- Prepare ad hoc financial analysis and reporting for internal and external stakeholders.
- Lead the annual budgeting process and periodic forecasts for the Tolling business in partnership with executives, department leaders and project teams.
- Translate operational plans, contract developments and resource requirements into integrated financial forecasts and decision-ready scenarios.
- Strengthen visibility into revenue, margins, backlog, utilization, project performance, working capital and cash conversion.
- Identify cost, productivity and margin-improvement opportunities and support accountable action plans.
- Provide financial analysis for contract negotiations, pricing, bids, investment decisions and other business initiatives.
- Develop departmental budgets, finance resource plans and performance measures in coordination with the CFO.
- Oversee project accounting and analysis, including project setup, resource planning, scheduling, utilization, revenue and cost tracking, forecasting and variance analysis.
- Partner with project and operational leaders to identify emerging contract, margin, billing and collection risks and drive timely resolution.
- Oversee accounts receivable, accounts payable and related transaction-processing activities, with clear ownership for accuracy, timeliness and controls.
- Monitor billing, collections, vendor payments, inventory and other working-capital drivers; recommend actions to improve cash conversion.
- Protect billing continuity and collections performance through the transition and ensure customer-facing processes are not disrupted by service changes or system cutovers.
- Track service-level credits, liquidated damages and contract penalty exposure, and ensure appropriate accounting recognition and disclosure.
- Maintain short-term business cash visibility and provide accurate inputs to enterprise cash and liquidity forecasts.
- Coordinate income, sales and other tax preparation and filings, including work performed by third-party advisers, in partnership with Corporate Tax.
- Lead finance support for internal and external audits for the Tolling Division, banking reviews, insurance audits and other assurance activities, including the additional evidence, access and coordination requirements that arise where accounting records are maintained on a third party's systems.
- Oversee business insurance administration, operational licenses, permits and bonding requirements, in coordination with Legal, Risk and enterprise stakeholders.
- Monitor bonding capacity, issuance, renewals, expirations and returns, and advise bid and proposal teams on related requirements.
- Identify and assess financial and operational risks, maintain relevant controls and action plans, and promptly escalate material matters through Quarterhill's risk-governance processes.
- Ensure compliance with applicable local, state, federal and corporate reporting requirements, policies and procedures.
- Manage the Tolling business's day-to-day cash administration and payment approvals within enterprise treasury policies, authorities and controls.
- Provide reliable cash forecasts, covenant and lender-reporting inputs, banking information and funding requirements to the enterprise treasury lead.
- Support bank account signing-authority, payment-control, guarantee, letter-of-credit and loan-administration activities as required.
- Maintain effective segregation of duties and fraud-prevention controls over payments and banking access.
- Serve as the division partner to the Director, Integration Management on liquidity planning, banking, merchant and payment-processing implementation, and treasury transition.
- Lead, coach and develop the Accounting Specialists and Project Planners, establishing clear roles, priorities, performance expectations and succession plans.
- Build a capable, service-oriented finance team that combines strong control discipline with practical support for the business.
- Partner with Corporate Finance, FP&A, Tax, Legal, Risk, People, Technology, Sales and operating leaders to resolve issues and improve finance processes.
- Where finance processes are delivered by outsourced, offshore or third-party providers, establish service levels, governance, cost transparency and performance review, and hold providers to them.
- Build and maintain effective working relationships with the seller's retained finance organization throughout the transition period, and act as the division's escalation point.
- Support finance integration and transformation initiatives, including process standardization, systems changes, data migration, control alignment and knowledge transfer.
- Communicate financial performance, risks and recommendations clearly to senior leaders and other stakeholders.
- The Tolling business closes accurately and on time in every period, including periods processed on the seller's systems, with reliable reporting and no material control deficiencies.
- Transition services are exited on plan, at period-end boundaries, with no control gaps, no unplanned extensions and no residual dependency on the seller's systems or personnel.
- The processes that did not transfer are operating reliably in-house or under governed providers, with documented ownership, procedures and controls.
- IFRS reporting is reliable, and revenue recognition, contract cost and deferred balance judgments are documented, consistent and audit-ready.
- Leaders have clear, forward-looking visibility into performance, project economics, working capital and emerging risks.
- Budgets and forecasts are credible, driver-based and actively used to manage the business.
- Audit, tax, insurance, licensing and bonding obligations are met without avoidable disruption or late escalation.
- Finance roles, processes and controls align with Quarterhill's enterprise operating model while supporting business needs.
- The finance team is engaged, accountable and equipped to support a larger, more complex organization.
- Typically 10+ years of progressively responsible finance and accounting experience, including leadership of a controllership or business-unit finance function.
- Strong knowledge of accounting, financial reporting, budgeting and forecasting, project accounting, internal controls and working-capital management.
- Demonstrated ability to lead a close and reporting cycle, support audits and compliance activities, and improve finance processes and systems.
- Strong commercial judgment and the ability to support contracts, pricing, bids and operational decisions with rigorous analysis.
- Experience leading and developing accounting and finance professionals across multiple disciplines.
- Professional accounting designation (CPA, CA, CMA or equivalent) is strongly preferred; a relevant university degree is required.
- Direct experience operating a business under a Transition Services Agreement following a carve-out, divestiture or acquisition, and leading the exit from those services, is strongly preferred and will differentiate candidates.
- Experience managing offshore, shared-service or outsourced finance delivery, including service-level governance and vendor performance management.
- Familiarity with Oracle JD Edwards, Oracle Fusion, Essbase, Blackline, Ariba and NetSuite is an asset.
- Experience in a public-company, multi-entity, multi-currency, project-based, technology-enabled or infrastructure-services environment is strongly preferred.
