About the Role

\n

\n

We are seeking a highly skilled and experienced Senior Corporate Paralegal to join our Legal Team. This individual will play a key role in supporting the Legal Corporate team on matters related to corporate governance, subsidiary management, board administration, and corporate transactional matters on a global level. The ideal candidate will have a strong background in U.S. corporate law and exposure to international entities and governance, experience reviewing form contracts, excellent organizational skills, and the ability to work independently in a fast-paced environment. This is a high-impact role for a seasoned paralegal who thrives in a dynamic legal environment and is eager to contribute to both strategic corporate initiatives and day-to-day legal operations.

Responsibilities

\n

\n

\n
• Support the Corporate Team in preparation and maintenance of corporate records, including minutes, resolutions, and consents for the board of directors in an international portfolio of subsidiaries.
\n
• Assist with the planning, coordination, and execution of board meetings for international subsidiary entities, meeting logistics, and distribution of meeting materials.
\n
• Maintain global subsidiary corporate governance calendars (i.e., annual/quarterly as applicable) and ensure timely filings and compliance with applicable legal and regulatory requirements.

• Support legal entity/subsidiary management and compliance, including formation, dissolution, and ongoing maintenance of domestic and international entities.
\n
• Organize corporate documents such as bylaws, charters, and corporate policies.
\n
• Maintain and update entity management systems (e.g., CSC and SharePoint).
\n
• Coordinate with local teams (legal, finance, compliance) and external counsel as needed.
\n
• Support on due diligence projects internally and on diligence portals.
\n
• Assist with notarizations and coordinate with directors and officers regarding appointments and removals.
\n
• Handle requests for legal entity corporate documents.
\n
• Monitor changes in governance laws, regulations and filing requirements, and assist with policy updates and implementation.

Qualifications

\n

\n

\n
• Bachelor’s degree required; paralegal certificate from an ABA-approved program preferred.
\n
• Minimum 10+ years of experience as a paralegal, with significant experience in corporate governance, subsidiary and entity management.
\n
• Proficiency in corporate governance software/tools (CSC) and Microsoft Office Suite and SharePoint.
\n
• In-depth experience working on company due diligence projects internally and on external diligence portals.
\n
• Contract review and contract management experience in a global corporation.
\n
• Ability to maintain confidentiality and exercise sound judgment.
\n
• Strong initiative and self-starter; ability to assimilate quickly, ask the right questions.
\n
• Ability to work in a complex and matrixed structure, partnering with stakeholders across businesses and functions.

Preferred Skills

\n

\n
• Experience working in or with highly regulated industries (e.g., beauty, retail, consumer and financial industries a big plus).
\n
• Public company experience a big plus.
\n
• Familiarity with legal technology platforms such as contract lifecycle management (CLM) tools, e-discovery software, and AI-enabled legal research platforms is a plus.

• Notary Public certification strongly preferred.

Pay range and compensation package

\n

We offer a competitive compensation package, comprehensive benefits, and opportunities for professional development in a collaborative and inclusive legal team. We disclose the compensation range for positions in compliance with local law. Actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, skills and in comparison to internal incumbents currently in similar roles. Pay Range: $120,000-145,000 salary per year. The range listed is just one component of Wella Company's total rewards package for employees. Other rewards may include annual bonus plan or variable pay, depending on the role. In addition, Wella Company provides a rich variety of benefits to employees, including health insurance, life and disability insurance, 401(k) retirement plan, paid holidays and paid time off (PTO).
