The Opportunity Senior Counsel, M&A will lead the structuring, negotiation, and execution of complex corporate M&A transactions, oversee legal due diligence, and manage post‑closing integration. The role partners closely with Executive, Corporate Development, Finance, and People teams to develop repeatable practices that move the business forward. As a core member of the Legal team, this person will also help develop and bolster the team culture by exemplifying care for their craft, care for others, and a commitment to collaborative solutions. In This Role, You Will Collaborate cross‑functionally across the company on M&A, strategic transactions, and investor‑related matters. Structure, conduct, and manage legal due diligence and engage internal and external partners to ensure alignment. Draft, negotiate, socialize, and review transaction documents. Lead deal execution logistics, including managing post‑closing integration and compliance efforts. Support corporate governance matters such as entity management, new entity development, equity program strategic planning, insurance, and board matters. Develop strategies for handling legal issues creatively and build processes for scaling flexible solutions that address risk. Advise internal stakeholders, providing clear, concise, and thorough guidance on legal risks, obligations, and mitigations. Qualifications 10+ years of proven experience leading mergers and acquisitions, strategic investments, due diligence, and integration activities; top‑tier law firm training and solid in‑house experience; corporate governance and fundraising experience is a plus. Experience supporting finance, corporate development, capital structures, and fundraising at a high‑growth technology company; track record of driving alignment and delivering results on complex cross‑functional projects. Excellent time‑management skills to juggle multiple time‑sensitive projects simultaneously in a fast‑paced, high‑growth environment. Comfortable independently owning end‑to‑end deal processes and advising senior leaders on risk tolerance and balancing to drive the business forward. Clear and empathetic communication, both face‑to‑face and in writing. JD and admission to the bar with a license to practice law in at least one US state.
