Of Counsel

Our client, a highly regarded law firm, is seeking a Mid-Level or Senior Associate / Of Counsel attorney to join its Real Estate and Business Practice Group . This is an excellent opportunity for a highly skilled attorney with at least six years of real estate finance and transactional experience to take on substantial responsibility in a dynamic practice. Key Responsibilities Lead and manage sophisticated real estate finance and transactional matters, including mortgage, mezzanine, and preferred equity finance, joint venture equity transactions, and complex commercial purchase and sale deals. Serve as primary deal counsel, independently managing transactions from inception through closing with minimal supervision. Draft, review, and negotiate a wide range of real estate and business agreements, including financing documents, joint venture agreements, purchase and sale contracts, and related ancillary agreements. Provide strategic counsel to clients, including entrepreneurs, developers, investors, and financial institutions, with a focus on achieving practical and business-oriented solutions. Supervise, mentor, and train junior associates and paralegals, delegating tasks effectively while ensuring quality and timeliness of work product. Coordinate and collaborate with attorneys across practice groups (e.g., tax, corporate, and litigation) to provide holistic advice on complex transactions. Manage client relationships, serve as a trusted advisor, and actively participate in business development efforts, including networking and contributing to thought leadership in the real estate sector. Ensure compliance with all applicable laws and regulations, assess risk factors, and anticipate potential legal issues affecting clients’ business goals. Candidate Qualifications Minimum of six years of real estate finance and transactional experience , with substantial exposure to mortgage, mezzanine, preferred equity finance, joint venture equity, and complex purchase and sale transactions. Demonstrated experience as lead deal counsel with ability to manage multiple, complex transactions with limited oversight. Strong drafting, negotiating, communication, and analytical skills, with a high attention to detail and the ability to distill complex concepts into practical advice. Effective time management skills, organizational abilities, and a strong work ethic. Commitment to excellent client service and ability to thrive in a fast-paced, entrepreneurial environment. Excellent academic credentials. Admission to the California Bar is required.
