About the Role
In this role, you will advise the business on transactional, commercial, and regulatory matters connected to NPM’s private market platform, products, and services. The role will involve structuring, drafting, and negotiating key client, partner, and vendor agreements while providing day-to-day legal guidance to internal teams across product, sales, operations, and compliance. You will also help navigate securities and financial services regulatory considerations that arise in connection with NPM’s marketplace and related liquidity programs.
You have a core skillset in process and design workflows or a track record in identifying process and workflow gaps and implementing technical solutions, which you will leverage to collaborate directly with NPM’s business stakeholders in its workflows as well as deploy AI toolsets for self-service automation. A key component of your initial workload will be to lead modernization of our legal operations. What we are looking for
NPM is looking for an agentic-minded attorney with 5+ years of transactional and commercial contracting experience. A lawyer with financial services, capital markets, fintech or corporate legal background would be well suited to the role. The attorney will be excited to work within a small group of legal and compliance professionals that collaborates closely, works on a wide range of legal issues, learns and feeds into each part of the business and its objectives and adds value by delivering timely advice to stakeholders aimed at providing custom-tailored and pragmatic solutions to business concerns and impediments. We have outlined more specific responsibilities and qualifications below.
Responsibilities
- Draft, update and negotiate core commercial and transactional documentation, including client service agreements, liquidity program documentation, platform participation agreements, marketplace-related agreements, vendor contracts, technology and data licensing agreements, and other business-to-business commercial arrangements.
- Partner with business, product, operations, and compliance teams to structure new initiatives, products, and client programs while identifying legal risks and helping develop practical, business-oriented solutions.
- Redesign legal intake, triage, and matter workflows by implementing legal tech tools, including contract lifecycle management and AI assistants; Identify repetitive tasks that can be automated using AI or workflow tools, then design practical solutions.
- Serve as a primary legal point of contact for internal stakeholders on commercial contracting, transaction structuring, and day-to-day legal questions related to NPM’s services and platform operations.
- Support a wide range of commercial agreements across the organization, including vendor, technology, data, and strategic partnership arrangements.
- Assist with regulatory and securities-related legal matters affecting NPM’s operations, including issues related to broker-dealers, alternative trading systems, private securities transactions, and cross-border considerations.
- Provide legal support for investment structures used on the NPM platform, including special purpose vehicles (SPVs), investor syndication structures, and coordination with fund administrators, transfer agents, and other service providers involved in private securities transactions.
- Review and provide guidance on external communications, marketing materials, and business initiatives to ensure consistency with applicable legal and regulatory requirements.
Qualifications
- 5+ years of legal experience with significant commercial experience including business-to-business contract drafting and negotiation, particularly in financial services, fintech, capital markets, or technology-driven businesses.
- Demonstrable experience using AI toolsets to scale legal operations through multiple integrations across Sales (e.g., Salesforce), Finance (e.g., Netsuite), Legal (e.g., CLMs like Spotdraft and Ironclad) and skills on AI assistants (e.g., Claude)
- Experience advising non-legal stakeholders (including business, product, and operational teams) on legal risks and practical considerations, including contract, regulatory, and other legal obligations.
- Experience or familiarity with investment fund structures, SPVs, or fund administration processes (including coordination with fund administrators, transfer agents, or investor reporting workflows) is helpful but not required.
- Experience or familiarity with broker-dealers or registered investment advisers.
- Ability to multitask and adapt quickly to shifting priorities.
- Excellent communication and interpersonal skills to work effectively with internal and external stakeholders.
- Ability to effectively work collaboratively across teams and functions when appropriate, and independently with minimal oversight when necessary.
- Experience and comfort taking ownership of substantial and/or complex projects and driving them to completion.
- Reliable and consistent high-level performance with regard to integrity and discretion in respect to confidential matters; attention to detail for work product; and cooperative and goal-oriented teamwork in a fast-paced environment.
- JD (required) with active membership and in good standing, or eligible to register as in-house attorney in the state of New York.
- Resident in the tri-state area, able to work on site at the NYC office several days a week.
