Job Overview

A law firm seeks a highly qualified associate to join its Emerging Companies & Venture Capital practice in Chicago, IL. The ideal candidate will have 3 to 5 years of experience representing startups, emerging growth companies, founders, and venture capital investors across all stages of the company lifecycle.

Duties

• Counsel founders and emerging companies on entity formation, corporate governance, and equity incentive structures.
• Draft and negotiate venture capital financing documents, including preferred stock purchase agreements and investors' rights agreements.
• Advise on convertible note and SAFE transactions and general corporate matters from seed stage through pre-IPO.
• Collaborate with attorneys across corporate, M&A, capital markets, and technology practices to support client needs.

Requirements

• Substantive experience in venture capital financings, emerging company representation, and technology transactions.
• Demonstrated familiarity with market-standard venture financing terms, including NVCA model documents.
• Experience advising both company-side and investor-side clients in the venture capital context.
• Bar admission or eligibility to obtain admission promptly in the home office location.

Education

• JD from an accredited law school with strong academic credentials.

Certifications

• Admission to the bar in the relevant jurisdiction.

Skills

• Deep fluency in the legal and commercial frameworks driving ECVC transactions.
• Experience with Delaware corporate law and corporate governance for privately held technology companies.
• Knowledge of startup equity compensation plans, including stock option plans, RSU programs, and 409A valuations.
