Watts & Associates is working discreetly with a highly regarded Am Law 200 ranked law firm with an international platform seeking a Senior Associate or Counsel Investment Funds and Fund Formation to join its Dallas Texas office.

This is a 100 percent transactional opportunity for an experienced funds lawyer to advise both sponsors and institutional investors on private investment vehicles, with a meaningful focus on regulatory considerations under the Investment Company Act of 1940.

The firm offers a sophisticated corporate platform and a collaborative, partner led approach to client service, with opportunities to work across a range of alternative asset classes and develop long term client relationships.

The Opportunity

You will support fund sponsors through the full fund lifecycle and advise limited partners, including sovereign and other institutional investors, on investments into private equity and other private funds. The work includes structuring and formation, fundraising and investor negotiations, governance and operational matters, and ongoing regulatory compliance, including 1940 Act analysis and related considerations.

Ideal Candidate Profile

The firm is seeking a Senior Associate or Counsel Investment Funds and Fund Formation with:

• More than 6 years of relevant experience advising on private investment funds, fund formation, and sponsor and investor side matters
• Experience across alternative investments such as private equity, private credit, energy, infrastructure, real estate, and hedge funds
• Strong fund formation fundamentals including structuring, fundraising, investor negotiations, governance, and regulatory compliance
• General experience with Investment Company Act of 1940 matters, with registered fund experience viewed positively
• Active Texas Bar admission, or eligibility to waive into Texas
