In-House Counsel - Contract Attorney - Vendor Contracts

Are you an experienced contracts attorney eager to make an immediate impact at a leading technology company? At The Reynolds and Reynolds Company, we develop state-of-the-art software for automotive retailers and take pride in our industry-first Retail Management System, as well as our diverse business forms and promotional products. We’re searching for a proactive, business-minded In-House Attorney to join our dynamic Houston legal team and take the lead on a broad variety of vendor contracting initiatives. This is a dedicated contracts position, not a litigation or dispute resolution role . This role reports to Senior In-House Counsel.

What You’ll Do:

  • Partner with business stakeholders to provide practical, commercially focused legal advice in reviewing, drafting, and negotiating vendor agreements.
  • Translate intricate legal concepts into practical guidance for colleagues with varying levels of legal knowledge.
  • Work cross-functionally with teams across the organization ensuring contracts are reviewed promptly and accurately.
  • Act as the point of contact for outside counsel on vendor-related matters, developing sophisticated legal strategies to reduce risk to the company.
  • Engage with opposing counsel to negotiate terms and build positive relationships.
  • Analyze and synthesize complex contractual terms, providing clear findings and actionable recommendations to Senior In-House Counsel and business teams.
  • Assist with other legal matters impacting the company as needed.
  • Travel up to 25% of the time.

Requirements:

  • Doctor of Jurisprudence from an accredited law school.
  • Active license to practice law in the State of Texas.
  • 5-7 years of experience in a law firm or as in-house counsel in a corporate setting, preferably with a focus in vendor contracts.
  • Possess exceptional legal reasoning, strong analytical abilities, and precise contract drafting skills.
  • Demonstrate strong negotiating skills, sound judgment, and the flexibility necessary to reach terms with adverse parties.
  • Must be adaptive and able to work productively both independently and as a member of a team.
  • Must be able to communicate effectively with executive and associate level employees both orally and in writing.
  • Must be coachable and committed to continuous learning and professional development

Please note: Only candidates with substantial commercial contracting experience will be considered. Litigation or dispute resolution experience is not relevant to this position.
