Boston based investment manager is looking to add a Counsel to their growing team! Ideally looking for 5-10yrs, hedge fund formation experience. Open to law firm associates, senior associates and those who have already moved inhouse. Juris Doctor degree from an accredited law school; member of the Massachusetts State Bar in good standing. 5-10 years’ experience as a practicing attorney with a focus on private investment funds and investments in public securities, preferably with in-house experience with a financial services organization, ideally a hedge fund or asset management firm. Prior experience at a national/international well-reputed law firm also preferred. Regulatory experience with the Securities Act of 1933, Securities Act of 1934, Investment Advisers Act required. International regulatory experience a plus. Experience with debt investments, public deal work and derivatives preferred. Corporate organization experience, such as entity, including partnership, formation/structure/reorganization, board resolutions, AML. Experience with litigation management a plus. Experience drafting and negotiating a variety of corporate agreements including, but not limited to, transaction, nondisclosure, licensing, subscription, professional services, vendor, ISDA, broker/dealer, trading, counterparty, research providers. #J-18808-Ljbffr
