Corporate Paralegal

A publicly traded technology company is seeking a Corporate Paralegal to support its legal department in managing a broad range of corporate, securities, governance, intellectual property, and transactional matters. Key Responsibilities Corporate Governance Maintain corporate records, including subsidiary records, board resolutions, meeting minutes, and governance documents. Assist with the preparation and coordination of board and committee meetings and related materials. Securities and Regulatory Compliance Support the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, and Section 16 filings. Track reporting obligations, compliance requirements, and regulatory deadlines to ensure timely submissions. Intellectual Property Support Assist with the management of intellectual property assets, including patents, trademarks, and trade secrets. Support IP-related transactions, disputes, and outside counsel coordination. Contract Management Draft, review, and administer a variety of commercial agreements, including confidentiality agreements, vendor contracts, and other business contracts. Maintain contract databases and support contract lifecycle management processes. Mergers & Acquisitions and Strategic Transactions Assist with due diligence efforts, data room administration, document organization, and transaction closings related to acquisitions, investments, and other strategic initiatives. Legal Research and Compliance Conduct legal research on corporate, securities, governance, and compliance matters. Assist with internal investigations, compliance initiatives, and risk management projects. Cross-Functional Support Partner with teams across finance, human resources, investor relations, and business operations to support legal and corporate initiatives. Coordinate with external counsel and third-party advisors as needed. Support document retention and records management programs. Qualifications 5+ years of corporate paralegal experience, preferably supporting public companies or law firm clients with public company matters. Bachelor's degree and paralegal certification required. Strong knowledge of SEC reporting, corporate governance, and public company compliance requirements. Experience supporting global operations and cross-border legal matters is highly desirable. Experience within a technology, manufacturing, or other innovation-driven industry is preferred. Strong organizational, communication, and project management skills. Ability to manage highly confidential information with discretion and professionalism. Notary Public status, or willingness to obtain notary certification, preferred. Compensation $120,000 #J-18808-Ljbffr
