Corporate Attorney (M&A) We are seeking a seasoned Corporate Attorney specializing in Mergers & Acquisitions to support complex transactional work and ongoing corporate matters. The successful candidate will advise on M&A transactions, joint ventures, commercial contracts, financing matters, and corporate governance, ensuring legal and regulatory compliance while helping the business achieve strategic objectives. This role requires strong drafting and negotiation skills, sound judgment, and the ability to manage multiple high‑value matters from diligence through closing and post‑closing integration and entity maintenance. Key Responsibilities Lead and manage all legal aspects of M&A transactions. Draft, review and negotiate transactional documents such as purchase agreements, disclosure schedules, merger agreements, joint venture agreements, purchase orders, and ancillary commercial contracts. Advise on formation, governance and operation of joint ventures and strategic alliances, including negotiating governance provisions and minority/majority protections. Structure, negotiate and document financing arrangements and advise on financing matters in connection with acquisitions and corporate operations. Provide guidance on corporate governance matters, board and committee processes, shareholder relations, and securities law implications where applicable. Manage entity maintenance, corporate record‑keeping, and regulatory filings across multiple jurisdictions to ensure ongoing compliance. Collaborate with cross‑functional teams (finance, tax, HR, compliance, operations) to align legal strategy with commercial objectives and to support integrations and divestitures. Draft clear, business‑focused legal advice, memos and presentations for internal stakeholders; communicate complex legal issues effectively both verbally and in writing. Supervise external counsel relationships, manage legal budgets, and ensure efficient use of outside resources to achieve timely and cost‑effective outcomes. Qualifications Juris Doctor (JD) or equivalent law degree and admission to the WSBA. 5+ years of transactional experience with a focus on M&A, joint ventures, and commercial transactions (law firm and/or in‑house experience preferred). Proven experience with corporate governance, entity maintenance, and handling financing matters related to acquisitions and corporate operations. Strong drafting and negotiation skills demonstrated by leading complex transactional documents and agreements. Excellent analytical skills with the ability to identify and resolve legal and commercial risk in high‑stakes matters. Track record of providing clear, practical legal advice with strong written communication and verbal communication abilities. Knowledge of compliance and regulatory frameworks relevant to corporate transactions and the ability to implement compliance solutions. Experience supervising outside counsel and managing legal budgets, timelines and priorities.
