Enterprise Contracts Counsel

Responsibilities

• Manage a team of contracts professionals, including Contracts Manager, Contract Administrator, and Enterprise Contracts Counsel.
• Draft, review, and negotiate contracts such as non-disclosure agreements, professional services agreements, software-as-a-service agreements, statements of work, amendments, and change orders within established guidelines to mitigate contractual risk.
• Establish and maintain contract guidelines compliant with FFEIC, FDIC, and other relevant regulatory agencies while ensuring business goals and objectives are clearly defined in the contract(s).
• Develop and maintain standard contract templates and clauses.
• Collaborate with Third Party Risk Administration, Procurement and Sourcing, and Business Units to fully understand business objectives and risks associated with the proposed engagement.
• Liaise directly with third parties during negotiation through contract execution, actively leading the Bank of Hope team.
• Advise management on contractual rights, issues, and obligations and provide interpretation of terms and conditions.
• Identify high-risk legal, commercial, and other contractual issues, escalating and assisting in their resolution.
• Provide guidance to develop proper Service Level Agreements ensuring meaningful remedies are included by working with Vendor Risk, Sourcing, and the requesting business unit.
• Maintain and continuously improve the Contracts Management and Development Program element within TPRM, including identifying opportunities to improve contract management processes, policies, and procedures and devising plans to implement changes.

Job Qualifications / Requirements

Education / Credentials

• Juris Doctor (J.D.) degree from an accredited U.S. law school.
• Licensed to practice law (California preferred).

The salary range for this full-time position is $200,000.00 - $225,000.00, plus bonus and benefits.

Salary ranges are determined based on qualifications, level, and location. Exact compensation may vary based on your skills and experience.
