Senior Paralegal

Position Overview : The Senior Paralegal serves as a key partner to the General Counsel, managing corporate governance, contract administration, compliance, and legal operations across multiple entities. This role oversees corporate filings, entity maintenance, regulatory compliance, contract lifecycle management, and legal documentation while supporting strategic business initiatives, including securities, intellectual property, and cross-border matters. The ideal candidate is highly organized, detail-oriented, technology-forward, and capable of independently managing complex legal workflows in a fast-paced, multi-entity environment.

Job Duties and Responsibilities

• Report directly to the General Counsel; manage GC schedule, calendar, reminders, and ensure all action items and responses are tracked and completed on time
• Manage all entity, state, and corporate filings across the company and all subsidiaries; maintain all registrations in good standing across every operating jurisdiction
• Administer annual reports, required state filings, incorporations, mergers, and dissolutions; maintain familiarity with Delaware and other key state filing portals
• Handle blue sky compliance filings and product registrations; manage SAM.gov registrations and renewal deadlines
• Support SEC filing processes: manage filing mechanics via EDGAR, coordinate with outside securities counsel, and submit routine disclosure documents; prepare routine documents from templates
• Manage cap table records, equity award administration, and investor documentation workflows; manage data room access. Knowledge of Carta a plus.
• Review, redline, and assist in preparing commercial agreements (distribution agreements, NDAs, MSAs, vendor contracts) from GC-provided checklists; prepare all signature requests via DocuSign
• Own the internal contract management system (CMS) end-to-end: intake, template management, routing, execution, obligation tracking, and renewal/expiration management
• Consolidate and organize all legal document libraries across entities into one centralized, searchable system
• Identify and implement workflow improvements proactively; build and maintain AI-assisted legal workflows using AI agentic tools; no coding experience necessary
• Track and manage IP portfolio: trademark renewals, USPTO deadlines, maintenance filings, and basic trademark searches in coordination with outside IP counsel
• Monitor regulatory changes and maintain a consolidated compliance calendar across all entities; manage insurance certificates, policy renewals, and coverage tracking
• Coordinate litigation support: document preservation, hold notices, and outside counsel coordination across active matters
• Assist GC in updating and maintaining company-wide legal playbooks for key operational areas including acquisitions, privacy, and fundraising
• Support cross-border and international transaction workstreams as needed; exposure to and interest in cross-border work is a plus
• Other job-related duties as assigned by supervisor

Technical Competencies

• Familiar with AI tools, including AI agentic models: core daily workflow tools for drafting, research, filing prep, and automation
• Contract Management System (CMS) administration; Lexion experience a plus; experience with any CMS platform considered
• Familiarity with SEC’s EDGAR system; we use a third party for submissions, but good to know how to file Form D’s & other routine forms
• DocuSign and e-signature workflow management
• Equity and cap table management; Carta experience a plus
• Delaware Division of Corporations and key state filing portal navigation
• Familiarity with SAM.gov and government registration portals a plus
• Microsoft Office Suite (Word, Excel, Outlook); Google Workspace
• Data room platforms and investor document workflow management
• Experience with AI agents or no-code workflow automation tools a plus; no coding experience required

Job Specific Requirements and Qualifications

• Minimum 5 years of paralegal experience, in-house or at a corporate/commercial law firm
• Demonstrated ability to independently review and redline commercial contracts with minimal supervision
• Hands-on experience with state corporate filings, entity maintenance, and annual report preparation
• Active user of AI tools; tech-forward mindset with demonstrated track record of adopting and improving workflows
• Strong written communication and professional drafting ability; writes clearly and concisely
• Highly organized, deadline-driven, and proactive; able to manage multiple workstreams across multiple entities simultaneously without oversight
• Exposure to or interest in cross-border and international transactions a plus

Certification and License Requirements

• Paralegal certificate from an ABA-approved program preferred; not required
• Florida notary commission a plus

Work Experience: Minimum 5 years of paralegal experience. In-house or corporate/commercial law firm experience preferred. Multi-entity or holding company exposure is a significant plus.

Education: Bachelor's degree required. Paralegal certificate from an ABA-approved program preferred. Relevant legal education or equivalent work experience considered.
