Associate

O'CONNELL AND ARONOWITZ, PC is seeking an experienced and motivated Associate Attorney to join our Business Department in our Latham, New York office. The ideal candidate will have strong academic credentials, excellent analytical and writing skills, and experience handling a variety of business and transactional matters and business litigation cases.

This is an excellent opportunity for an attorney who is interested in developing a sophisticated business law practice while working closely with experienced attorneys and a diverse client base.

The Associate Attorney will assist clients with a broad range of business and transactional matters, including:

• Attend court appearances related to commercial and residential eviction proceedings, including representing firm clients in eviction matters, preparing for appearances, and handling related landlord-tenant issues as appropriate.
• General litigation skills for commercial cases in State Court and US Bankruptcy Court.
• Formation and organization of business entities, including corporations, limited liability companies, partnerships, and other business structures.
• Drafting and reviewing operating agreements, shareholder agreements, partnership agreements, and other organizational documents.
• Drafting and negotiating contracts and other commercial agreements.
• Advising clients regarding corporate governance and business operations.
• Assisting with mergers, acquisitions, reorganizations, and other business transactions.
• Conducting due diligence and preparing transaction documents.
• Advising clients on general business and commercial matters.
• Reviewing and negotiating leases, vendor agreements, employment agreements, and other business contracts.
• Conducting legal research and preparing legal memoranda.
• Communicating directly with clients and assisting in developing long-term client relationships.
• Working collaboratively with attorneys and professional staff throughout the firm.
• Participating in business development and community activities as appropriate.

Qualifications:

• J.D. from an accredited law school.
• Admission to the New York State Bar and in good standing.
• 2-3 years of experience practicing business, corporate, transactional, or commercial law preferred.
• Strong legal research, writing, drafting, and analytical skills.
• Excellent attention to detail and organizational skills.
• Ability to manage multiple matters and deadlines effectively.
• Strong interpersonal and communication skills.
• Ability to work independently while also functioning effectively as part of a team.
• Demonstrated commitment to providing high-quality client service.
• Strong interest in developing and growing a business law practice.
