Senior Healthcare Attorney
The General Counsel Law Firm
The General Counsel Law Firm, PLLC (TGC), is a Miami Beach based boutique firm serving healthcare organizations and growing businesses nationwide that is hiring its first attorney. We are looking for a healthcare lawyer with five (5) to ten(10) years of experience who is familiar with the current GLP-1, peptide, and compounded medication marketplace, who has advised healthcare clients across the full range of what an operating business needs from its lawyer, and who is organized enough to be on client calls in the first week. Business litigation experience is a strong plus, and so is an interest in leading webinars, writing, and helping the firm build its presence online. This is a fully remote role, with a competitive salary and bonus opportunities. This is not an associate seat and it is not a training position. If you have ever read a job posting and thought “I could build something better than this,” this one was written for you. About the Firm TGC exists because growing companies deserve the same complete legal function that large corporations get from an in house legal department: fractional general counsel services on retainer, plus hourly and flat fee project work for defined matters. Our founder has worked in house inside healthcare businesses and publicly traded companies and at both large and small law firms, and he built TGC to be the alternative to environments where talented lawyers are constrained by rules they have no power to change. Here, the attorney who owns the matter makes the call. We answer clients the same day, we turn drafts in days rather than weeks, and we use technology aggressively. If the pace and caution of a large firm ever frustrated you, the culture we are creating was built for you. Who We Serve Healthcare is the central focus of this firm. On the telehealth side: direct to consumer telehealth storefronts and brands, white label telemedicine platforms, provider networks, management services organizations, professional corporations, and 503A and 503B compounding pharmacies. On the traditional side: medical practices and physician groups, ambulatory surgery centers, plastic surgeons, dermatologists, dentists and oral surgeons, skilled nursing facilities, assisted living and long term care providers, physical therapists, chiropractors, acupuncturists, med spas, laboratories, imaging centers, veterinary practices, and private equity backed healthcare platforms and MSO roll ups. Alongside them: startups, e-commerce companies, consumer product and wellness brands, manufacturers, SaaS platforms, marketing agencies, professional services firms, real estate ventures, and private lenders. The Model You Must Already Know We are not going to explain the direct to consumer telehealth model here, because the attorney we hire already knows it. Our future hire must be familiar with the storefront, MSO, professional corporation, and compounding or nonresident pharmacy stack behind a brand marketing compounded GLP-1s and peptides in all fifty states, and you understand how money, patient data, and liability move through it. The storefront usually does not know whether it is compliant or exposed until someone who understands the model reads the agreements. You are that someone. You should be familiar with, and have done most of, the work that follows: corporate practice of medicine analysis and management services agreements; funds flow and merchant of record analysis; fee splitting review of affiliate marketing; asynchronous, synchronous, and in person requirements by state and drug; nonresident pharmacy licensure and the 503A and 503B frameworks; storefront claims, catalog gating, FTC and LegitScript compliance; and Better Business Bureau, state board, and agency responses. You need to recognize all of it. What You Will Do Own telehealth compliance engagements end to end, from structural review of the stack to compliance packages and website markup guides. Build fifty state prescribing, modality, licensure, and SKU gating analyses that clients operate their businesses from. Handle corporate practice of medicine, MSO formation, physician employment and contracting, licensure and change of ownership, payor audits, HIPAA, and fraud and abuse analysis. Draft and negotiate MSAs, PC and pharmacy services agreements, platform and SaaS agreements, white label and provider network agreements, BAAs, influencer and affiliate agreements, terms of service, and patient consents. Run healthcare M&A, practice acquisitions, and MSO roll up transactions from letter of intent through closing; handle entity formation, operating agreements, member buyouts, and restructurings. Advise on HR and employment, from handbooks and contractor agreements to restrictive covenants, incident investigations, and separations; manage demand letters, EEOC responses, settlements, and severance agreements. Serve as outside general counsel to our business, e-commerce, consumer product, SaaS, and professional services clients. Lead webinars, draft articles and client alerts, and help build the firm’s online presence and referral network alongside the Managing Partner. Run standing weekly client calls, own the relationship on your matters, deliver on the dates you give, and advise proactively: flag the regulatory change before the client asks. Litigation: A Strong Plus Today, when a client’s contract dispute or employment claim heads to court, we refer it out. We would like to stop. If you have tried business cases, that experience will be a meaningful part of your practice here that we would like to expand. If you have not, you will still own every dispute through the demand letter stage and coordinate litigation counsel when needed. How We Advise: Getting to Yes, Compliantly Our clients are operators who come to us with a business goal, not a legal question. The lawyer they need does not answer with a list of reasons it cannot be done; the lawyer they need explains the topic, the risk, and the strategy, then finds the structure, the disclosure, or the agreement term that gets them to yes compliantly. We offer solutions, not just hurdles, and we are proactive rather than only reactive: we tell clients what new state board guidance means before they read about it. Healthcare is the entry point, not the ceiling; we do not pigeonhole attorneys into one practice area, and we do not send our clients to other firms for half of what they need. What Success Looks Like in Year One In your first week, you are on calls with clients discussing their active matters, and you can hop on a call with a new or existing client the same day to explain the topic, the risk, and the strategy. By month one, clients send their revisions and inputs directly to you and you advise, redraft, and negotiate from there, running your standing calls alone. By month three, you own the firm’s telehealth compliance engagements end to end and have led your first webinar or published your first article. By month six, you have closed a transaction and disputes are staying in house. By month twelve, clients and referral sources ask for you by name. Who We Are Looking For An experienced healthcare attorney who is hungry and ready to build something they actually want: the practice, the client relationships, and the working life they would design for themselves if given a blank page. Here, you are given the blank page. You have five to ten years of healthcare experience, the most recent several in or around telehealth or the GLP-1 and compounding economy. You have business experience, ideally as in house counsel. You are organized to a degree other lawyers notice: a matter list nobody has to ask you for, clients who never have to chase you. You are a strong drafter of plain, precise attorney prose, commercially minded, self directed, and proactive. You want a public voice, because in this market the lawyer who explains the rule clearly is the lawyer who gets the call. Qualifications Required: J.D. and active bar membership in good standing, with Florida or another state; five to ten years of substantive healthcare legal experience, regulatory and transactional; familiarity with the direct to consumer telehealth model, corporate practice of medicine, fee splitting, and multistate modality rules; demonstrated drafting and negotiation of healthcare commercial agreements; the ability to counsel operating companies across contracts, HR, compliance, governance, and disputes; strong organizational skills. Preferred: business litigation experience through trial; in house or general counsel experience at a healthcare business; healthcare M&A, MSO roll up, or private equity deal experience; speaking, writing, or online presence experience; an existing book of business or referral network. Compensation, Benefits, and Remote Work This is a salaried position with a competitive base salary commensurate with experience and bonus opportunities. The position is fully remote and will stay that way. We measure attorneys on output, responsiveness, and client outcomes, not on hours logged or where your desk is. You will have real autonomy over your schedule and protected personal time. The General Counsel Law Firm, PLLC is an equal opportunity employer. All qualified applicants will receive consideration without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, disability, or veteran status. #J-18808-Ljbffr The General Counsel Law Firm
