Essential Functions: Legal Support for Commercial Matters: Represent nCino in drafting, negotiating, and interpreting commercial contracts, including master agreements for subscription services, amendments to customer contracts, professional services statements of work and change orders, data protection agreements, and nondisclosure agreements Work with other legal team members and sales, accounting, and sales operations teams on deal structures and terms Work with lead commercial attorney on a variety of projects including playbook drafting, process improvements, and template updates Work with subject matter experts for topics such as security, data privacy, AI, intellectual property, and product teams as needed for contract negotiation Explain nCino’s legal position to internal teams and in customer calls and emails Support the resolution of commercial contract disputes, including analyzing contractual rights and obligations and drafting correspondence in response to customer claims Other Legal Support as Needed: Draft, review, and negotiate other contracts, including vendor contracts and partnership agreements Ensure contracts are in line with company policies and comply with applicable laws and regulations Support internal team and corporate projects and work groups, providing the legal point of view to advance priorities Identify potential legal risks in partnership with the team and recommend appropriate strategies to mitigate them Qualifications: Juris Doctor (J.D.) degree from an ABA accredited law school and be a member in good standing 2+ years of relevant experience in a law firm and/or in-house legal department, with a firm understanding of contract law Excellent analytical, problem-solving, and decision-making skills Adaptability to change and willingness to re-prioritize matters on short notice Strong interpersonal and communication skills to effectively collaborate with various stakeholders and at all levels of the organization Strong time management and organizational skills, with the ability to manage multiple projects and responsibilities concurrently Ability to work autonomously and collaboratively as part of a team in a fast-paced environment Enthusiasm for technology with an interest in the nCino platform and products, and a willingness to understand the technology behind our offerings Demonstrated experience in negotiating and drafting contracts and agreements Familiarity with the financial services industry, Salesforce, SaaS, intellectual property, and data privacy laws and regulations Familiarity with SaaS industry-specific legal challenges and best practices The pay range for this role is based on relative market data and alignment with our compensation philosophy. The range displayed reflects the minimum and maximum of the pay range for each job posting, which is used to determine new hire rates/salaries and takes into consideration multiple factors including but not limited to knowledge, skills, abilities, proficiencies, experience, education, licensures/certifications, as well as business and organizational needs. nCino reserves the right to modify the posted range consistent with our internal practices and external market movement. The base salary range for this job is:

$93,900 - $159,600 USD
