Job Overview A law firm seeks a Corporate Associate in Raleigh, NC, with three to six years of experience to join their team. The role involves engaging in drafting, negotiating, and client communication on complex corporate transactions, particularly in the tech, biotech, and venture capital sectors. Duties Engage in corporate transactions, including mergers and acquisitions. Conduct transactional due diligence. Assist in fundraising and venture financings, including issuances of preferred stock and convertible securities. Act as outside general counsel, including counseling clients and reviewing contracts. Manage capitalization tables using systems like Carta and prepare waterfalls and pro formas. Requirements Three to six years of relevant experience. Strong academic credentials from a reputable law school. Demonstrated interest in the innovation economy and venture-backed companies. North Carolina bar license preferred; ability to become licensed in NC required. Education Juris Doctor from an accredited law school. Certifications Licensed to practice law in North Carolina or eligibility to obtain licensure. Skills Proficiency in managing capitalization tables and preparing financial documents.
