Investment bank with hybrid schedule and long term growth opportunitiesOpportunity to own equity derivatives legal as bank growsAbout Our ClientTop investment banking client.Job DescriptionMain Responsibilities:Provide legal advice to business leaders within US Global Equities and Global Investment Banking, focused on the structuring of transactions, securities laws and regulatory framework.Provide legal support to the structured notes program, advising on all new products, marketing materials, distribution channels, etc.Provide legal advice to the equities business on issuer call spreads, ASRs, ATM Forwards, 10b5-1/10b-18 plans, structured margin loans.Provide legal advice to derivatives and trading businesses on OTC equity derivatives transactions.Draft, review and negotiate all agreements, including: OTC equity derivative confirmations, distribution and marketing agreements for structured notes, listed options execution agreements, etc.Advise the business on securities law regulatory matters ('33 Act, '34 Act) as they relate to the structuring of transactions.The Successful ApplicantJD from US ABA accredited law school7+ years of experience gained in-house supporting the equity derivatives desk of a major investment bank, with prior experience at an AmLaw 50 firm highly preferredUS State Bar AdmissionMust be solutions oriented with a securities law mindset when it comes to advising on the structuring of transactionsExperience drafting, negotiating and advising on a wide range of equity derivatives and structured notes documentationExperience with and deep understanding of securities laws ('33 Act, '34 Act) in relation to equity derivativesExperience advising on margin loans and structured notes transactionsStrong understanding of ISDA frameworkExcellent drafting and negotiating skillsAbility to simplify legal advice for multiple stakeholders within a fast paced businessWhat’s on OfferBase salaryCash bonusEquityExcellent benefitsHybrid working modelOpportunity for growth401 (k)ContactJennifer PettigrewQuote job refJN-082026-7082320Job summaryFunctionLegalSubsectorLegal SubsectorIndustryFinancial ServicesLocationNew YorkContract typePermanentConsultant nameJennifer PettigrewJob referenceJN-082026-7082320Page ExecutiveJennifer Pettigrew Senior Partner Jennifer is a Senior Partner and Global Practice Leader for Page Executive’s Legal Practice, where she heads the U.S. In-House Attorney Recruitment Division.
