Corporate Associate Attorney

Our client seeks a corporate attorney with at least 4–5 years of experience and substantial M&A experience. The firm advises businesses, including private equity-backed portfolio companies, on transactions and ongoing outside general counsel matters. Salary: $140k Responsibilities Draft and negotiate acquisition agreements, disclosure schedules, and related documents. Manage buy-side and sell-side due diligence, closings, and post-closing deliverables. Advise on entity formation, equity issuances, capitalization, equity compensation, and corporate governance. Draft and negotiate commercial contracts, including NDAs, MSAs, and vendor agreements. Provide practical, responsive advice to outside general counsel clients and collaborate across practice groups. Required Qualifications JD and active Virginia and/or California bar membership in good standing. At least 4–5 years of corporate and transactional experience, including substantial M&A work. Ability to draft and negotiate acquisition agreements with limited supervision. Strong writing, attention to detail, and ability to manage multiple clients and deadlines. Private equity, technology, software, healthcare, or growth-stage company experience preferred.
