Job Overview A law firm seeks a Private Funds Associate with three to six years of experience to join their Asset Management Group in Washington, D.C. The role involves advising clients on the formation, structuring, and operation of private investment funds, including private equity, hedge, credit, and venture capital funds. The associate will draft and negotiate fund documents, ensure regulatory compliance, and provide ongoing advisory support. Duties Advise clients on private investment fund formation and operation. Draft and negotiate fund formation documents. Counsel on fund governance and economic terms. Ensure compliance with securities laws. Advise on regulatory matters and filings. Conduct due diligence reviews. Support fund restructurings and secondary transactions. Assist with fund marketing and investor relations. Draft management company and general partner documents. Collaborate with cross-practice teams for comprehensive advice. Monitor legal developments affecting private funds. Manage multiple matters and mentor junior associates. Requirements Juris Doctor degree from an accredited law school. Admission to the bar or eligibility for prompt admission. Three to six years of experience in private investment fund matters. Strong knowledge of securities laws and regulations. Excellent drafting and negotiation skills. Familiarity with fund economics and investor reporting. Strong analytical and problem-solving skills. Excellent written and verbal communication skills. Strong interpersonal skills for client and team relationships. Ability to work independently and collaboratively. Experience managing multiple projects simultaneously. Willingness to mentor junior associates. Proficiency in using AI technologies responsibly.
