Associate General Counsel

Organization Overview National Academy of Sciences, National Academy of Engineering, and National Academy of Medicine work together as the National Academies of Sciences, Engineering, and Medicine to provide independent, objective analysis and advice to the nation and conduct other activities to solve complex problems and inform public policy decisions. Job Summary Under the direction of the General Counsel, provides legal advice and assistance for the corporate organization on a range of legal issues and policy matters. Handles a variety of routine to complex legal projects and provides legal research to support the National Academies’ internal and/or external activities and interests. Responsibilities Provide legal advice and assistance for the National Academies’ corporate organization on a range of legal issues and policy matters. Handle routine to complex legal projects. Lead or provide legal research to support internal and external activities and interests. Draft and review legal documents. Provide legal interpretation to management and staff in connection with legal and related business issues. Serve as an expert resource to staff on legal issues. Collaborate closely with the General Counsel and the Deputy General Counsel. Mentor and coach paralegal staff. Provide advice and counsel on personnel and employment matters, employee benefits, federal and state labor and workplace laws, and intellectual property matters including trademark and copyright matters. Supervise and manage the work of outside counsel on these matters. Provide legal advice regarding contract issues and issues related to ownership, licensing, or leasing of property. Provide advice and counsel to the Office of Contracts and Grants and the Procurement Office on public contract law, negotiation, and interpretation of government contracts, grants, and cooperative agreements. Provide advice and counsel to program and financial managers on tax reporting, intellectual property, insurance, and security issues. Handle compliance with Section 15 of the Federal Advisory Committee Act (FACA) and restrictions on handling classified and sensitive but unclassified information. Assist in negotiating, drafting, and reviewing leases, subleases, contracts, and license and permissions related to intellectual property. Analyze contracts and other legal documents in order to protect the interests of the institution. Develop uniform templates for certain contract and grant matters. Perform legal research and analysis; prepare and review legal reports. Oversee and manage the annual charitable solicitation registrations. Develop and sustain ongoing working relationships with colleagues across the organization and with constituents outside the organization. Foster an environment that emphasizes and values sharing knowledge across program and administrative organizational groups. Maintain strict confidentiality and exercise care to prevent disclosure of privileged, sensitive, or confidential information. Qualifications Juris Doctorate. Six years of related professional experience. Admission to the District of Columbia Bar. Excellent written, verbal, interpersonal, and organizational skills. Knowledge of regulatory framework applicable to government contractors and the non‑profit sector. Ability to collaborate within a complex organizational structure and with outside counsel. Ability to manage privileged, sensitive, and confidential information and corporate matters appropriately. Ability to solve intellectual problems of substantial variety and complexity. Ability to serve as a resource to others in the resolution of complex problems. Ability to exercise independent judgment and action. Ability to work successfully in a team environment. Other Details Reports to General Counsel; supervisory responsibilities and controls. Work environment: hybrid office/telecommute with expected onsite percentage of approximately 60%; occasional travel within and outside DMV; business travel may be required. Compensation range: $126,880 – $198,250, based on experience; benefits‑eligible with comprehensive medical, dental, vision, life, disability, retirement, and other benefits.
