Corporate & Transactional Associate

Overview A leading national law firm is seeking a Corporate & Transactional Associate to join its Corporate and Transactional practice across major West Coast and Texas markets, including Los Angeles, San Francisco, San Diego, Seattle, Portland, Dallas, Houston, and Austin. The successful candidate will work on a wide range of corporate and transactional matters, including mergers and acquisitions, private equity transactions, joint ventures, financing arrangements, and corporate governance matters. This role provides meaningful deal experience, exposure to clients, and opportunities to work closely with senior attorneys on complex transactions. This position is particularly well suited to a 3–5 year associate seeking hands‑on transactional experience in a collaborative and fast‑paced environment. What You’ll Do Advise clients on corporate and transactional matters, including M&A, private equity, joint ventures, and financing arrangements. Draft, review, and negotiate transactional documents, including purchase agreements, investment agreements, and ancillary corporate agreements. Assist with due diligence and deal execution from start to closing. Collaborate with partners and other practice groups on strategic and complex transactions. Provide practical guidance on regulatory, governance, and commercial matters affecting client transactions. Participate in client meetings and offer business-oriented legal advice. About You J.D. from an accredited law school with strong academic credentials. 3–5 years’ corporate or transactional experience at a law firm or equivalent professional environment. Strong drafting, negotiation, and analytical skills. Excellent verbal, written, and interpersonal communication skills. Ability to work independently and collaboratively on complex corporate and transactional matters. Experience across multiple industries and deal types is a plus. Why Apply? Base salary range: $225,000 – $260,000 depending on experience and location. Performance-based bonus may be available.
