Corporate Paralegal

Our client, a growing corporation is seeking an experienced Corporate Paralegal to join its legal team in downtown Dallas. This is a hands-on position for a highly organized legal professional who enjoys managing contracts, corporate records, compliance requirements, and a variety of day-to-day legal matters. The successful candidate will be comfortable working independently, managing multiple priorities, and collaborating with legal, operational, and business teams. Strong attention to detail, follow-through, and sound judgment are essential.

Key Responsibilities

• Contract Administration: Maintain accurate and well-organized electronic contract files, including current, amended, and fully executed agreements. Track renewal dates, expiration dates, notice periods, and other important contractual deadlines. Prepare documents for signature and coordinate the execution process.
• Corporate & Entity Management: Assist with the formation and maintenance of business entities, including state filings, annual reports, good-standing requirements, and other governmental submissions. Keep entity records and organizational information current.
• Regulatory & Licensing Support: Monitor licensing, registration, and other regulatory requirements across multiple jurisdictions and help ensure renewals and filings are completed accurately and on time.
• Legal Document Management: Maintain standard forms, templates, precedents, and other legal resources. Assist with periodic updates to forms and documentation based on changes in business practices, legal requirements, or operations.
• Corporate Governance: Maintain corporate records, minute books, resolutions, consents, and related governance documentation.
• Document Preparation: Prepare initial drafts of routine corporate and legal documents, including written consents, resolutions, standard agreements, and other recurring legal documents.
• Compliance & Transaction Support: Review and summarize key provisions of transaction-related documents and assist with monitoring contractual or other compliance obligations.
• Due Diligence: Support due diligence projects by organizing documentation, reviewing materials for completeness, preparing electronic data rooms, and assisting with document uploads and tracking.

Qualifications

• 3–5 years of corporate paralegal or closely related legal experience
• Associate or bachelor's degree; paralegal certificate from an ABA-approved program preferred
• Strong knowledge of corporate and contract law
• Experience with multi-state entity management, including state filings and corporate records
• Experience with licensing, regulatory, and compliance matters
• Residential real estate experience is a plus
• Proficiency with Microsoft Office
• Strong organizational, communication, and time-management skills
• Ability to work independently while collaborating effectively with attorneys and business teams
• High level of professionalism, integrity, and attention to detail
