Liaisons with other departments, outside counsel, law firms, or online legal services if necessary. This role will also provide advanced support for complex contracting activities, mergers and acquisitions (M&A) and other business transactions, and oversight of litigation handled by outside counsel. Experience with trade compliance and employment matters is also preferred. This position requires the ability to obtain a security clearance, if needed.ESSENTIAL JOB FUNCTIONS:• Provide legal advice and counsel on general corporate matters, including corporate organization, securities compliance, data privacy, risk management, and contract management.• Draft, review, and negotiate a variety of contractual documents related to commercial and US Government contracts, including vendor and supplier contracts, customer and subcontract agreements, NDAs and license agreements.• Support the contract lifecycle management process to ensure efficient review, approval, and execution aligned with business objectives and risk tolerance.• Support M&A and other corporate transactions, including due diligence, deal structuring, drafting, reviewing and negotiating transaction documents, coordinating cross-functional review, and supporting post-closing integration activities.• Provide support on employment law matters such as hiring practices, performance management, workplace investigations, employee relations, wage & hour issues, and terminations.• Oversee and manage litigation handled by outside counsel, including case strategy, budgeting, discovery oversight, status reporting, and coordination with internal departments.• Advise on and ensure compliance with federal, state, and local regulations, including those related to government and regulatory requirements; support company-wide policy development and training.• Advise on trade compliance matters, including export controls, sanctions, and other related regulatory obligations; collaborate with Compliance to support training, monitoring, and internal controls.• Provide support on employment law matters such as hiring practices, performance management, workplace investigations, employee relations, wage & hour issues, and terminations.• Conduct or oversee internal investigations and manage dispute resolution efforts, including litigation strategy, whether handled internally or by outside counsel.• Collaborate cross-functionally with Contracts, HR, compliance, and leadership teams to provide legal guidance and training on policies, practices, and regulatory obligations.• Monitor legal, legislative, and regulatory trends to proactively identify risks and opportunities affecting the business.• Coordinate and manage outside counsel for specialized matters, including litigation, regulatory issues, intellectual property, and complex transactional work.• Perform other job duties as assignedSUPERVISORY RESPONSIBILITY:This position does not have supervisory responsibilities.#LI-OnsiteBenefitsMedical, Dental & Vision Insurance CoverageLife/ADD & Short/Long Term Disability Insurance401(k) Savings PlanEmployee Stock Purchase Plan (ESPP)Paid Time-Off (PTO)HolidaysEducation Reimbursement
