Technology & IP Transactions Associate

Direct Counsel is seeking a Technology & IP Transactions Associate with 3-6 years of experience to join a premier technology transactions practice handling sophisticated intellectual property, technology, and commercial transactions across a broad range of industries.
This is an exceptional opportunity for attorneys interested in advising innovative companies, private equity sponsors, investors, and strategic acquirers on technology-driven transactions. The practice supports complex domestic and international matters involving software, artificial intelligence, life sciences, energy and infrastructure, consumer products, media, and other technology-intensive industries.
Responsibilities

• Advise clients on technology, intellectual property, and commercial aspects of strategic transactions
• Support mergers and acquisitions, private equity investments, financings, joint ventures, restructurings, and strategic alliances
• Draft, review, and negotiate software agreements, SaaS agreements, technology licenses, outsourcing agreements, and commercial contracts
• Structure and negotiate intellectual property licenses involving patents, trademarks, copyrights, trade secrets, data, and databases
• Assist with research and development agreements, collaboration agreements, and technology commercialization arrangements
• Conduct technology and intellectual property due diligence in connection with corporate transactions
• Collaborate with corporate, private equity, finance, and litigation teams on complex client matters

Qualifications

• 3-6 years of technology transactions, intellectual property transactions, commercial transactions, or related experience
• Experience supporting M&A, private equity, financing, licensing, or strategic commercial transactions preferred
• Strong drafting, negotiation, analytical, and client counseling skills
• Interest in technology, artificial intelligence, software, life sciences, and emerging industries
• Excellent academic credentials and attention to detail
• Technical degree not required

Compensation & Benefits

• Base salary range: $260,000 - $390,000
