Job Summary Job Summary The Employment, Executive Compensation, and Benefits practice group is actively seeking lateral associates with 2-6 years of experience in executive compensation and employee benefits matters, to join our U.S. offices in either Boston, Chicago, New York or San Francisco. Associates in this position provide legal expertise on matters related to the executive compensation aspects of corporate transactions. Associates are involved in advising companies, investors, and executives on all aspects of executive compensation and benefits issues. Associates work in teams to provide solutions for clients by developing strategies, drafting legal documents, and ensuring compliance with their executive compensation and employee benefits arrangements with applicable laws and regulations. Duties/Responsibilities Work on executive compensation and employee benefits portions of private equity and public company transactions including mergers and acquisitions, IPOs and asset sales. Provide legal advice and counsel on executive compensation and employee benefits matters. Assist in the design, implementation, and administration of executive compensation plans and programs. Draft and review employment agreements and other compensation-related documents. Conduct legal research and analysis on relevant laws, regulations, and industry trends. Advise clients on compliance with federal and state laws, including ERISA, tax laws, and securities regulations. Assist in the negotiation and drafting of executive employment contracts and severance agreements. Collaborate with other practice groups, such as tax and corporate, to ensure comprehensive client representation. Stay updated on emerging legal developments and best practices in executive compensation and employee benefits. Required Education, Experience and Skills Juris Doctor (J.D.) degree from an accredited law school and strong academic standing is required. Candidates must be admitted to practice law in the state of employment or be eligible for prompt admission, is required. 2–6 years of proven legal experience working on M&A transactional executive compensation and employee benefits matters is required, preferably in a law firm due to continuous practice and application. Strong knowledge of relevant laws and regulations is essential. Attention to detail and sharp analytical skills are essential. Ability to work both independently and collaboratively in a team-oriented environment is necessary for success. Practical experience with and familiarity with legal AI tools is preferred.
