The team advises issuers, underwriters and investors on the full spectrum of public and private securities transactions across the US and internationally, and is known for high-quality, complex transactional work, a collaborative culture and clear progression. The opportunity The firm is growing its US capital markets bench and is hiring corporate / capital markets associates. You will work on high-value equity and debt securities transactions — IPOs, follow-on and secondary offerings, high-yield and investment-grade debt, private placements (Rule 144A / Reg S) and ongoing public-company advisory — acting for both issuers and underwriters. Locations Open across several US offices: New York · Chicago · San Francisco / Silicon Valley · Washington, DC · Los Angeles — and open to other US offices for the right candidate. Front‑loaded hiring phase; strong applicants considered for whichever office best fits. What you'll do Advise on registered and private equity and debt offerings across the deal lifecycle. Handle public-company work: SEC reporting (10-K, 10-Q, 8-K), disclosure and corporate governance. Draft offering documents and securities filings; manage diligence, negotiation and closing. Work alongside M&A, tax and other specialists on multidisciplinary transactions. What we're looking for Approximately 2+ years of capital markets / securities experience (2nd–6th year class) at a recognised firm. US-qualified and admitted (or eligible to be admitted) to the relevant state bar — CA, IL, NY, DC, etc., depending on office. JD from a strong law school; solid academic record. Experience of public-company representation or late‑stage private / pre‑IPO work an advantage.
