Contract Manager

We are seeking an experienced Contracts & Compliance Manager to support a growing mission-driven organization in Austin. This role sits closely with the organization's legal leadership and will have primary responsibility for contract administration, contract review, procurement compliance, and related legal and governance processes . The ideal candidate brings strong hands-on experience managing contracts and organizational processes, along with the judgment to identify potential risks and determine when matters should be escalated to legal counsel. This is a highly collaborative role that works across Finance, Operations, leadership, and other departments to ensure contracts and compliance processes are handled accurately, efficiently, and consistently. This opportunity is well suited for a Contracts Manager, Contract Administrator, Corporate Paralegal, Legal Operations professional, or Compliance professional with significant contract experience. Key Responsibilities Contract Management & Procurement Review, edit, and administer a variety of organizational contracts and agreements. Assist internal stakeholders with contract questions and support contract negotiations. Ensure contracts follow established review, approval, and signature requirements. Identify contracts and transactions that require legal review or escalation. Manage contract routing, signature collection, filing, record retention, renewals, and related deadlines. Develop and maintain contract templates, forms, and other resources to improve consistency and efficiency. Maintain accurate contract databases, records, and reporting tools. Partner with Finance and other departments to strengthen vendor procurement processes and controls. Evaluate existing contract and procurement processes and recommend improvements. Corporate Governance & Compliance Administer annual conflict-of-interest disclosure processes for board members, committee members, officers, and designated employees. Assist with documenting, reviewing, and managing disclosed conflicts of interest. Maintain corporate records, governance files, organizational charts, and related documentation. Track board and committee terms and governance requirements. Coordinate board and committee meeting documentation, including minutes and records retention. Prepare reports and summaries related to governance and compliance activities. Regulatory & Tax Compliance Support Finance and external auditors by gathering and maintaining documentation for audits and compliance reviews. Assist with information supporting federal and state tax filings and nonprofit reporting. Conduct comparative reviews and analyses of governance and compliance disclosures. Assist with charitable and other regulatory compliance requirements. Research and monitor emerging laws, regulations, and compliance requirements. Assist with developing and maintaining organizational policies, procedures, and compliance processes. Help departments identify, document, and mitigate compliance risks. Support compliance training, policy reviews, and process improvement initiatives. Assist with compliance requirements related to healthcare operations, privacy, workplace safety, and other regulated activities. Support responsible and compliant use of emerging technologies, including artificial intelligence. Perform other duties as assigned. What We're Looking For Bachelor's degree or equivalent combination of education and experience. 7+ years of relevant professional experience in contract administration, contracts management, compliance, paralegal work, corporate governance, legal operations, risk management, or a related field. Demonstrated experience reviewing, administering, and managing contracts . Experience working with organizational policies, approval processes, and compliance requirements. Strong project management skills and the ability to coordinate multiple priorities and stakeholders. Excellent attention to detail and organizational skills. Ability to interpret policies, regulations, contractual obligations, and other requirements and translate them into practical guidance. Strong judgment, including the ability to recognize issues that require escalation to legal counsel. Excellent written and verbal communication skills. Ability to work independently while collaborating effectively across departments. Strong proficiency with Microsoft Office, including Word, Excel, PowerPoint, and Outlook. High level of discretion when handling confidential and sensitive information. Preferred Qualifications 10+ years of relevant experience. Experience in a nonprofit, healthcare, legal, financial services, or other regulated environment. Experience supporting boards of directors or other governance bodies. Knowledge of nonprofit governance and regulatory requirements. Familiarity with nonprofit tax compliance and Form 990 reporting. Experience with contract lifecycle management, governance databases, or compliance management systems. Experience with healthcare compliance, including HIPAA or related regulatory requirements. Experience developing or improving compliance and operational processes. Experience using workflow/project management platforms and generative AI tools.
