Assistant General Counsel, Legal Strategy & Advancement Team

Overview Job Type: Regular Assistant General Counsel, Legal Strategy & Advancement Team. Role Assistant General Counsel focusing on Government Contracting & Business Agreements. Reports to the Vice President, General Counsel, and Corporate Secretary. Responsibilities Work with RAND's research division leadership to navigate legal complexities, primarily in federal government contracting, enabling pursuit of new opportunities through sound legal advice and creativity. Draft and negotiate business agreements and other legal documents. Advise contracts department and other RAND operations personnel on federal, state, municipal, international government contracts, IP/data use/licensing agreements, and other business agreements. Collaborate with Director of Contracts to establish and update agile processes for review and negotiation of contracts and agreements. Proactively identify potential vulnerabilities and risks and design solutions with relevant stakeholders. Task and direct outside counsel as required. Advise staff on compliance with applicable laws and regulations, including FOIA, California Public Records Act, FCPA, sanctions regimes, export regulations (primarily ITAR), human subjects protection under Common Rule. Advise RAND’s Development function on terms of charitable gifts and grants. Project‑based tasks assigned by the General Counsel. Other responsibilities may include: Advocacy with research sponsors on behalf of RAND, including periodic in‑person visits to sponsor locations. Providing training on international trade controls and export regulations. Responding to FOIA requests and state/local disclosure laws. Advising RAND’s Institutional Review Board on human subjects protection. Advising RAND’s Development function on terms of charitable gifts and grants. Qualifications Required: At least six (6) years practicing attorney with substantive experience in the primary responsibilities above. Detail‑oriented, works well under pressure, affinity for RAND’s mission. Proven problem‑solver who takes ownership of responsibilities. Confident sound judgment in ambiguous situations.Collaborative, collegial, and skilled at building consensus with diverse professional groups. Drive for continuous improvement and interest in AI tools. Desire to take on increasing responsibility and confident engagement in novel legal issues. Ability to identify priorities and adjust to meet unanticipated needs. Ability to travel occasionally to other RAND offices (primarily in the U.S.). Preferred: Substantive experience in two or more of the additional responsibilities described above; prior employment with an organization that contracts with U.S. Federal Government or in government contracts dept of a law firm; experience working for or with a non‑profit organization. Education & Licensing J.D. and licensed to practice law (in good standing). If not licensed in the state of employment, must qualify under Supreme Court of Virginia’s Rule 1A:5 or requirements for Registered In‑House Counsel for State of California. Licensure in California, Virginia, Pennsylvania, D.C., or New York is a plus. Security Clearance Ability to obtain and maintain a U.S. Government Security Clearance and DHS Fitness. U.S. citizenship required. Location & Work Arrangement Based in Arlington VA (Washington‑DC area) office or Santa Monica, CA (Los Angeles area) headquarters. Hybrid work environment: blend of on‑site and remote work, approximately three days per week at a RAND office. Salary Range $177,500 - $235,000, including base pay plus RAND’s sabbatic pay.
