Senior Corporate Counsel

Corporate Counsel PositionWe are seeking Corporate Counsel to join our in-house Legal Department and provide practical, business-focused legal support across the organization. This role will report to General Counsel and will partner with business leaders on corporate and commercial matters to provide legal counsel and guidance, manage legal risk, and provide solutions that support business objectives of Essex Solutions around the world.Provide day-to-day corporate law support for the Company and its subsidiaries, including financing arrangements, M&A transactions, commercial contracts, intercompany arrangements, etc.Assist General Counsel and Legal Compliance and Governance Manager in providing board committee support, including planning and coordination of board meetings, preparation and mailing of board materials, drafting board and committee minutes, resolutions, annual shareholder meetings, etc.Provide and oversee legal support for real estate transactions, including leases, sales and acquisitions of real estate and facilitiesServe as the lead in-house counsel for a subsidiary of the Company that specializes in wire distribution and electrical/mechanical installation in commercial construction businessAssist General Counsel in administering and overseeing Company's compliance programs, including anti-bribery, antitrust and restricted party screening.In connection with the foregoing, reviews or conducts research, prepares legal documents, negotiates with outside parties, consults with and advises clients, and represents the company in dealing with others.Responsible for managing relationships with outside counsel in areas of responsibility5-6 years of combined law firm and in-house experience, including 2 years in-houseManufacturing sector experience preferred; however, progressive experience in any industry will be considered favorablyBachelor's degree from a top quality, nationally recognized, accredited college or universityJuris Doctor degree from a top quality, nationally recognized, accredited law school, preferably in top 15% of graduating classLicensed to practice law in Georgia or another U.S. jurisdiction with reciprocity with GeorgiaM&A experience at a large law firmExposure to public company reporting experience desired but not requiredReferences upon requestDemonstrate sound judgment, excellent legal analytical skills.Strong orientation to detail work and ability to synthesize details.Superior communication skills, both oral and written. Ability to explain complex matters to non-lawyers in plain English and succinctly.Strong research and drafting skills, ability to work manage multiple priorities and work independentlyInterest in learning about the Company and its business.Proactive posture.Sense of urgency and willingness to make tough decisions but also thorough in approach to managing issues, often involving competing interests.Strong relationship builder.
