Direct Counsel is seeking a Mid-to-Senior Level Intellectual Property Associate to join a sophisticated Technology Transactions practice . This position is ideal for an attorney with substantial law firm experience handling complex commercial technology transactions, intellectual property matters, and the IP/commercial components of M&A and other corporate transactions .

The successful candidate will work with both early-stage and later-stage/public technology companies on sophisticated commercial and strategic transactions.

Responsibilities

• Draft, review, and negotiate a broad range of complex technology and commercial agreements .
• Advise technology companies on sophisticated intellectual property and contractual matters .
• Counsel both emerging-growth and later-stage/public companies on commercial transactions.
• Advise clients on the intellectual property and commercial aspects of M&A and other corporate transactions .
• Conduct and assist with IP and commercial contract diligence in connection with strategic transactions.
• Identify and address intellectual property, contractual, and commercial risks.
• Collaborate with corporate attorneys and other practice groups on complex transactions.
• Provide practical, business-oriented advice regarding intellectual property ownership, contractual rights, and commercial relationships.
• Manage sophisticated transactional matters while maintaining direct client contact.

Qualifications

• Substantial law firm experience in intellectual property and technology transactions.
• Deep understanding of intellectual property and contract law .
• Significant experience handling complex commercial transactions .
• Experience representing both early-stage and later-stage/public technology companies .
• Experience advising on the IP and commercial aspects of M&A and other corporate transactions .
• Superior academic credentials.
• Excellent drafting, written, oral, and interpersonal skills.
• Strong analytical abilities and commercial judgment.
• Ability to work effectively on sophisticated, fast-paced transactions.
• Must be admitted in the jurisdiction of the applicable office or eligible to sit for or waive into the next available bar examination .

Compensation & Benefits

• Base Salary: $260,000–$390,000 , depending on experience, qualifications, credentials, and location.
