About the Role

The Company is in search of a Managing Tax Counsel to join their in-house tax planning team. The successful candidate will be responsible for advising on a wide range of transactions, including acquisitions, divestitures, financings, restructurings, and joint ventures, with a primary focus on optimizing tax treatment and managing risk. This executive role demands a professional with a deep background in transactional tax, particularly in the areas of M&A and due diligence. The Managing Tax Counsel will be expected to structure, negotiate, and document complex tax elements of transactions, prepare and review technical tax memoranda, and develop financial models to assess the tax impact of various deals. Applicants must have a Bachelor’s degree, a Juris Doctorate (JD), and be a member in good standing of a U.S. state bar. A minimum of 10 years of tax experience, with a significant focus on transactional, partnership, and M&A tax, is required, preferably from a top law firm or Big 4 environment. Mastery of relevant tax regulations and a proven track record in managing large projects and providing business-focused advice are essential. The role also involves mentoring and developing junior team members, so leadership and team development abilities are a must. While experience in the energy or renewables industry is valued, it is not a mandatory requirement. The ideal candidate will have exceptional communication skills and be adept at presenting complex tax concepts to senior management and stakeholders.
