Direct Counsel is seeking a Private Funds Associate Attorney to join a prestigious Am Law firm in its New York, Chicago, or Washington, DC office.

This opportunity is ideal for an attorney with 4-7 years of experience advising private equity sponsors, investment managers, and institutional investors on private fund formation and related investment management matters. The successful candidate will join a market-leading investment management practice and work on sophisticated fund formation, structuring, fundraising, and regulatory matters for a diverse client base.

Key Responsibilities:

• Advise private equity sponsors and investment managers on the formation, structuring, and operation of private investment funds.
• Draft and negotiate fund formation documents, including partnership agreements, subscription documents, and side letters.
• Counsel clients on fundraising activities and investor negotiations.
• Advise on regulatory and compliance matters affecting private funds and investment advisers.
• Assist with the formation and structuring of sponsor entities and related investment vehicles.
• Support clients on ongoing fund governance and operational matters.
• Collaborate with attorneys across corporate, tax, regulatory, and transactional practice groups.
• Develop and maintain strong client relationships while providing practical, business-oriented legal advice.

Qualifications:

• J.D. from an ABA-accredited law school.
• Active membership and good standing with the Bar in at least one U.S. jurisdiction.
• 4-7 years of experience in private funds, investment management, or related transactional matters.
• Experience representing private equity sponsors, fund managers, or institutional investors in fund formation matters.
• Relevant in-house investment management experience will also be considered.
• Strong drafting, analytical, and negotiation skills.
• Excellent written and verbal communication abilities.
• Ability to manage multiple sophisticated matters simultaneously.
• Strong attention to detail and commitment to exceptional client service.
• Outstanding academic credentials and solid law firm experience preferred.
