Role Description

We are in search of a Corporate Legal Counsel who will combine classical corporate legal duties with compliance functions (approximately 30% of the role).

Responsibilities

1) Corporate Legal Tasks:

• Preparation and legal analysis of corporate documents (including decisions of management bodies, powers of attorney, internal policies and procedures) and support for their approval/approval.
• Preparation, submission, and receipt of documents for state registration of the creation and termination of legal entities, obtaining permits, certificates, and submission of mandatory reporting in accordance with the requirements of the legislation.
• Support of issues related to trademarks, including their registration, maintenance of validity, and legal protection.

2) Contractual Work:

• Preparation, legal expertise, and participation in negotiations on financial contracts and tender documentation.

3) Compliance and Risk Management:

• Development, implementation, and monitoring of compliance programs within the framework of the environmental and social management system (ESM), as well as compliance with the requirements of the ISO 14001 standard.
• Conducting internal audits, risk assessments, and training employees on compliance issues.
• Ensuring compliance with banking compliance requirements, including KYC (Know Your Customer) and AML (Anti-Money Laundering) procedures.

4) Legal Support and Administrative Assistance:

• Providing legal advice on corporate law and regulatory requirements.
• Assisting in the preparation of applications, questionnaires, and other documents for submission to regulatory authorities.
• Interaction with state regulators, external legal advisors, auditors, and certification bodies.
• Monitoring changes in legislation, regulatory acts, and standards affecting the company's activities.
• Providing additional support on corporate governance, compliance, and environmental regulation.
• Maintaining corporate, contractual, and compliance documentation in compliance with requirements for timeliness and proper formatting.

Required Experience and Skills:

• Full higher legal education (master of laws degree).
• 2+ years of relevant experience as a lawyer in a law firm or in-house lawyer, preferably in the IT industry.
• Understanding of the principles of maintaining and functioning of a document registration system (document flow).
• Experience with typical forms of contracts (templates).
• Knowledge of the specifics of contractual arrangements for the sale of the company's main products.
• Curiosity, persistence, attention to detail.
• Result-oriented, high level of responsibility, ability to act independently and take responsibility for the final result.
• Developed communication skills.
• Proficiency in English at an Upper-Intermediate/Fluent level.
• Fluency in Ukrainian (for preparing legal documents).
