Key Responsibilities Establish Pantheon funds and assist in fundraising; advise on fund structure; draft or review fund documentation (LPAs, PPMs, side letters, etc.); coordinate investor closings and maintain fund records. Assist with segregated account programmes – draft, review, and negotiate term sheets, investment management agreements, and segregated limited partnership agreements. Coordinate with internal marketing and investor relations teams, independent boards of directors, external counsel and administrators for launch, marketing/fundraising and maintenance of the Pantheon funds. Prepare and maintain various Pantheon fund/client checklists. Corporate and Regulatory Advise the firm on all U.S. regulatory aspects of Pantheon’s business (e.g., Securities Act of 1933, Investment Company Act of 1940, Investment Advisers Act of 1940, ERISA, CFTC, etc.) and work alongside the Compliance team on such regulatory issues. Identify, interpret, and apply applicable U.K. laws, rules, and regulations. Draft, review, and negotiate a wide range of contracts, including commercial agreements, service provider contracts, and statements of work. Advise staff on legal and regulatory requirements, boundaries, and risks. Supervise and educate external counsels on Pantheon practices. Liaise with applicable regulatory authorities. Attend to other general Pantheon group corporate matters. Investment Work Assist the various investment team divisions (primary, secondary, co‑investment, infrastructure) in relation to investment transactions; address queries on NDAs, fund or transaction terms. Prepare and maintain various Pantheon investment checklists. Knowledge and Experience Required High School Diploma or Equivalent. Bachelor’s Degree. Juris Doctor Degree. Admission to the New York State Bar and completion of Continuing Legal Education (CLE) requirements (24 CLE credit hours every two years, including at least 4 in Ethics & Professionalism, at least 1 in Diversity, Inclusion & Elimination of Bias, at least 1 in Cybersecurity). Relevant post‑graduate experience (3–5 years) in private markets/investment management obtained at a law firm or in an in‑house position. Expected base salary range: $200,000 - 225,000 Actual base salary is determined by a range of factors including individual experience, skills, and qualifications.
