Associate Commercial Counsel

Draft, review, and negotiate customer agreements, including licenses for on-premises software and cloud-hosted services, consulting agreements, and professional services agreements Coordinate with the Omnissa Deal Management Team and internal stakeholders Provide legal advice and support to Deal Management and Sales teams on modifications to standard terms and deal-related questions Use independent judgment to resolve routine matters and escape novel or higher-risk issues to senior counsel Guide internal stakeholders on sales contract matters, including contract interpretation, customer concerns, and dispute resolution Collaborate with Americas colleagues, the global Omnissa Legal Team, and stakeholders across the company to support strategic goals Requirements Qualified to practice law in a US jurisdiction Minimum 2 years of experience negotiating software and cloud services licensing agreements and related professional services agreements at a B2B company In-house experience in a United States-based technology company preferred but not required Excellent drafting and negotiation skills Ability to communicate complex legal and commercial concepts clearly and concisely Ability to identify and mitigate legal and business risks and provide practical solutions to complex issues Ability to work effectively in a fast-paced environment and manage multiple priorities with attention to detail Collaborative mindset and ability to work cross-functionally and build strong relationships with internal and external stakeholders Experience using AI tools in daily legal work is a bonus Juris Doctor preferred, or equivalent combination of education and relevant professional experience Must be legally authorized to work in the United States; employment-based immigration sponsorship is not available Core Competencies Demonstrates expertise in drafting, reviewing, and negotiating software and cloud services agreements while providing legal advice to sales teams.
