Energy Commercial Transactions Associate Attorney or Counsel

Direct Counsel is seeking an Energy Commercial Transactions Associate Attorney or Counsel to join a nationally recognized energy practice at a sophisticated law firm. This opportunity is available in San Francisco, Seattle, or Portland , with San Francisco preferred.

The attorney will support a sophisticated energy commercial transactions practice representing developers, technology companies, energy market participants, investors, utilities, and emerging energy businesses navigating the evolving energy landscape. The role will focus on energy commercial contracts and transactional matters across the energy and digital infrastructure sectors, including significant work involving data center-related energy matters, renewable energy, and battery storage.

Responsibilities

• Draft and negotiate a broad range of commercial agreements, including energy supply, development, procurement, and operational contracts.

• Support transactions involving energy project development, financing, acquisitions, and asset sales.

• Advise clients on renewable energy credit (REC) transactions and wholesale and retail energy market matters.

• Counsel clients on matters involving renewable energy, distributed energy resources, storage, transmission, demand response, energy efficiency, and decarbonization initiatives.

• Collaborate with attorneys across practices on energy transition, infrastructure, environmental, technology, and commercial matters.

• Independently manage components of complex transactions while working collaboratively with deal teams.

• Provide sophisticated legal advice to clients navigating emerging energy and infrastructure issues.

Qualifications

• 3+ years of relevant energy transactions experience ; candidates with a strong commercial transactions background and demonstrated interest in energy will also be considered.

• J.D. degree from an accredited law school.

• Admission to practice in California .

• Strong drafting and negotiation skills.

• Ability to independently manage components of transactions.

• Familiarity with energy industry regulatory frameworks, utility operations, or renewable energy development.

• Strong legal research, writing, analytical, and communication skills.

• Interest in emerging technologies, renewable energy, grid modernization, and energy transition issues.

• Ability to manage multiple complex matters in a collaborative, fast-paced environment.

Compensation

$225,000 - $330,000 annualized salary , with actual compensation dependent on education, training, experience, and other job-related factors.
