Direct Counsel is seeking a Private Equity Mergers & Acquisitions (Asset Management) Associate Attorney to join a leading law firm’s Private Equity Group. The ideal candidate will have 3+ years of experience with a strong background in asset management M&A, including experience with sophisticated corporate and transactional matters. Experience with GP stakes transactions is particularly valued.

Locations: Boston, MA; New York, NY; Philadelphia, PA; Washington, DC

Responsibilities:

• Represent private equity sponsors and asset management clients in sophisticated M&A and corporate transactions.
• Advise clients on asset management M&A transactions, including acquisitions, dispositions, strategic investments, and related transactions.
• Work on GP stakes transactions and other transactions involving asset managers and investment platforms.
• Handle a broad range of corporate and transactional matters, including mergers and acquisitions, leveraged recapitalizations, growth equity transactions, venture capital investments and exits, and equity compensation matters.
• Assist clients throughout the transaction lifecycle, including structuring, due diligence, negotiation, documentation, and closing.
• Draft, review, and negotiate transaction agreements and other corporate and M&A documentation.
• Independently manage significant components of transactions while collaborating effectively with partners and other members of the deal team.
• Develop and maintain strong relationships with clients, opposing counsel, and other transaction professionals.
• Provide practical, business-oriented legal advice and effectively communicate complex issues to clients.
• Manage multiple transactions and competing deadlines in a fast-paced private equity practice.

Qualifications:

• 3+ years of law firm experience in corporate, M&A, private equity, or related transactional matters.
• Strong experience in asset management M&A is required.
• Experience with GP stakes transactions is preferred.
• Broad experience with corporate and transactional matters, including:
  • Mergers and acquisitions
  • Leveraged recapitalizations
  • Growth equity transactions
  • Venture capital transactions and exits
  • Equity compensation
• Demonstrated ability to work collaboratively as part of a team while independently managing substantial components of transactions.
• Proactive approach with strong business judgment and commercial awareness.
• Excellent written and verbal communication skills.
• Strong ability to manage internal and external client and counsel relationships.
• Strong analytical, organizational, and interpersonal skills.
• Relevant bar admission or eligibility to obtain admission promptly in the resident office’s location.

Compensation: $260,000+ annually, plus potential bonus and comprehensive benefits. Compensation may vary based on experience, qualifications, location, and other applicable factors.
