CFIUS, Trade Controls & Government Contracts Associate Attorney (2–6 Years)
Location: Washington, DC
Salary: $235,000 – $390,000

Direct Counsel is seeking a CFIUS, Trade Controls & Government Contracts Associate to join a leading Am Law firm in Washington, DC . This is an exciting opportunity for an attorney with 2–6 years of experience or strong interest in national security, international trade, foreign investment review, export controls, and government contracts.

The ideal candidate will have experience advising clients on complex regulatory matters involving cross-border transactions, national security reviews, and government compliance, while supporting sophisticated M&A and investment transactions.

Responsibilities

• Advise clients on matters involving the Committee on Foreign Investment in the United States (CFIUS) and the Outbound Investment Security Program (OISP) .
• Counsel clients on export controls, sanctions compliance, government contracts, and national security regulations.
• Support domestic and cross-border mergers, acquisitions, and strategic investments by providing regulatory and transactional guidance.
• Assist with internal investigations and regulatory compliance matters involving U.S. government agencies.
• Conduct legal research and prepare memoranda, filings, and other documentation related to trade controls and national security issues.
• Collaborate with multidisciplinary teams to provide strategic advice on complex regulatory and transactional matters.
• Stay current on evolving developments in international trade, export controls, sanctions, and national security law.

Qualifications

• J.D. from an accredited law school with a strong academic record.
• Active bar admission or eligibility to practice in Washington, DC.
• 2–6 years of experience in international trade, national security, government contracts, or a related practice area.
• Experience with or a strong interest in CFIUS and the Outbound Investment Security Program (OISP) .
• Experience with or willingness to develop expertise in:
  • Government contracts
  • Export controls
  • Internal investigations
  • Transactional support for mergers, acquisitions, and strategic investments
• Familiarity with one or more of the following agencies is highly valued:
  • Bureau of Industry and Security (BIS)
  • Directorate of Defense Trade Controls (DDTC)
  • Office of Foreign Assets Control (OFAC)
  • Defense Counterintelligence and Security Agency (DCSA)
• Excellent analytical, research, drafting, and communication skills.
• Ability to manage multiple complex matters in a collaborative, fast-paced environment.
