Linde Inc. — Corporate Governance Paralegal Location: Danbury, CT, United States | Req ID: 31655 Responsibilities Assist with across corporate governance matters, including preparing and maintaining public company policies and the corporate governance website Collaborate on a wide range of matters for the Board of Directors, including meeting preparation, agenda and materials drafting, preparing meeting materials for electronic distribution, director compensation and director orientation Assist with Insider Trading Program compliance, providing stock trading clearances Prepare SEC Section16 insider trading filings Draft certain SEC filings on Form8‑K and collaborate on preparing certain sections of other SEC filings such as Form10‑K and 10‑Q Prepare key sections of the annual general meeting of shareholders (AGM) proxy statement and draft director and officer questionnaires and AGM documents Support as needed general corporate matters such as subsidiary maintenance, drafting secretary certificates, and other certificates Qualifications Minimum of 7‑10 years of corporate governance paralegal experience with a combination of law firm and in‑house experience; significant public company experience is essential Associate’s degree preferred Paralegal Certification preferred Strong communication and interpersonal skills, with a collaborative approach and a demonstrated ability to work effectively in a team‑oriented environment Benefits Competitive compensation Wide range of medical options to suit everyone’s needs Educational and professional development Employee discount program 401(k) Pension plan Life insurance All qualified applicants will receive consideration for employment without regard to race, color, religion, sex, national origin, age, disability, protected veteran status, pregnancy, sexual orientation, gender identity or expression, or any other reason prohibited by applicable law.
