Sr. Paralegal - Contracts & Corporate Governance

About the Job Senior Paralegal – Contracts and Corporate Governance. Responsible for managing Mitsubishi Motors North America (MMNA)’s legal contract workflow across all internal departments. Works under counsel to reduce risk in business transactions and drives the vision to manage an entire contract workflow from start to finish. Also manages executive committee communications and oversees governance and compliance projects. Primary Responsibilities Contract Management Assist in the development, preparation, and review of agreements, amendments, and addenda under counsel’s direction. Serve as first point of contact for legal review on contract matters, inbound requests, and non‑standard term requests. Support management of forms, playbooks, and procedures; maintain MMNA’s form contract and template repositories. Analyze contract requirements for compliance with insurance, corporate governance, regulatory, and legal requirements, including data privacy and information governance. Collaborate cross‑functionally with Sales Operations, Aftersales, Finance, IT, etc., and advise business partners on contract risks. Implement and own MMNA’s cross‑department contract workflow; strategically reduce risk while completing processes from start to finish. Track and organize contract administration lifecycle, including inbound requests, routing, confidentiality management, and procedural documentation. Assist in the RFP process by analyzing contracting issues with vendors. Conduct training for business partners on negotiation and management best practices. Corporate Governance and Compliance Management Serve as Secretary of the Executive Committee; collect proposals, keep meetings on schedule, and take/retain minutes. Assist Corporate Secretary with Board of Directors meetings as needed. Coordinate large‑scale compliance activities with Legal, Human Resources, Internal Audit, and other departments. Support compliance for Marketing, Intellectual Property, Finance, and other corporate/business transaction projects. Work with Mitsubishi Motors Corporation and the executive team to secure approvals under the Delegation of Authority; assist in creating Executive Committee materials for contract approvals. Location of Position Franklin, TN Headquarters. Candidate must reside in Middle Tennessee within reasonable driving distance. No mandatory in‑office days, but face‑to‑face meetings will occur an average of one day per week, including onboarding in the first 60 days. Travel beyond the office and local dealerships is not expected. Qualifications 7+ years of relevant legal experience. Exceptional organization, attention to detail, and ability to work collaboratively and cross‑functionally; strong research, communication, and executive‑level writing skills. Seasoned operational and professional judgment; strong decision‑making, analytical, and interpersonal skills. Strong knowledge of contractual and insurance obligations, standards, and practices. Experience managing contract workflow through a contracts management system (e.g., Evisort). Ability to improvise and respond to contractual language questions, provide creative solutions to operational issues, and manage multiple projects under tight deadlines. Working knowledge of general corporate operations, governance matters, boards, committees, and internal controls; ability to manage committees and documentation professionally. Comfortable communicating with all levels of employees; ability to obtain and deliver information effectively. Willingness to learn new things, work in new areas, and thrive in ambiguity. Proficiency with Word, Excel, PowerPoint, and similar software. A sense of humor is required. Preferred Profile Differentiators Licensed attorney able to independently conduct basic contract reviews (highly preferred). Paralegal certification combined with 10+ years of relevant experience. Pay Transparency Base salary ranges from $95,000 to $110,000, determined by role, qualifications, and experience.
